6) Drag-along right
In the case where
- the reference shareholder who holds at least 40% of the share capital, or
- a consortium of shareholders together holding more than the reference shareholder but at least
50% of the share capital found a purchaser (or consortium of purchasers) willing to take over the entire share capital of the company at a price not lower than that resulting from the valuation procedure of the shares provided by these agreements, they have the right to force all the other members to assist in the sale of all shares at identical conditions, unless other shareholders claim their right of pre-emption with respect (cumulatively)
- to whom has called the drag-along, and
- to the shareholders who have joined the drag-along buying them at the same price offered by those who wanted to buy the company all the shares owned by who called the drag-along and who agreed to join the drag-along.

El Pignorante declara y garantiza al Prestamista:
a) que está válidamente constituido y está debidamente inscrito en el Registro correspondiente y tiene plena capacidad de obrar;
b) que tiene capacidad para otorgar y cumplir esta Póliza y que ha llevado a cabo todos los actos necesarios para autorizar el otorgamiento y el cumplimiento de la misma, y que el otorgamiento de estas Prendas constituye y crea una garantía real de primer orden a favor del Prestamista sobre el Crédito Pignorado y el Saldo Pignorado en garantía de las Obligaciones Garantizadas;
c) que las Prendas representan para el Pignorante una obligación válida, líquida y exigible a tenor de lo dispuesto en esta Póliza;
d) que tiene título válido y seguirá siendo el propietario legal y pleno del Crédito Pignorado y del Saldo Pignorado, que están libres de todo tipo de cargas o embargos y que no existen limitaciones similares o derechos de terceros que puedan afectar a los derechos del Prestamista que se deriven del presente Contrato o de las Prendas constituidas, distintas de las establecidas en el presente Contrato; y
e) que la aceptación y cumplimiento por el Pignorante de las obligaciones reflejadas en esta Póliza (i) no contravienen ninguna ley o resolución judicial o administrativa; (ii) no entran en conflicto con la escritura de constitución o los estatutos del Pignorante; (iii) no contradicen ningún documento, acuerdo o contrato que obligue al Pignorante; y (iv) no requieren ninguna autorización, consentimiento, licencia o permiso distintos de los ya obtenidos en la fecha de este Contrato.
f) que a fecha del presente contrato, el Crédito Pignorado o el Saldo Pignorado no ha sido cedido ni embargado por terceros.
g) que garantiza y se compromete a no gravar o ceder de forma alguna el Crédito Pignorado o el Saldo Pignorado.

The Pledgor hereby represents and guarantees to the Lender:
a) that the Pledgor is validly incorporated and duly registered in the relevant Registry and has full legal capacity to act;
b) that the Pledgor has the capacity to execute and fulfil this Deed and that it has carried out all the necessary acts to authorise the granting and fulfilment thereof and that the granting of this Pledge constitutes and creates first-rank in rem guarantees on the Pledged Credit and on the Pledged Balance in favour of the Lender in guarantee of the Secured Obligations;
c) that the Pledges represent for the Pledgor a valid, payable and enforceable obligation pursuant to the provisions of this Deed;
d) The Pledgor has valid title to, and is and will remain the sole absolute legal owner of the Pledged Credit and the Pledged Balance, which are not subject to any encumbrance or seizure, and there are no similar restrictions or third party rights which may affect the rights of the Lender under this Agreement and the Pledges created herein, other than those established in this Agreement; and
e) that the acceptance and fulfilment by the Pledgor of the obligations reflected in this Deed (i) do not contravene any law or administrative or court order; (ii) do not conflict with the incorporation deed or the by-laws of the Pledgor; (iii) do not contradict any document, agreement or contract that is binding for the Pledgor; and (iv) do not require any authorisation, consent, license or permit other than those already obtained as of the date hereof.
f) The Pledgor guarantees that as of today the Pledged Credit has neither been assigned nor seized to any third party.
g) The Pledgor guarantees and undertakes neither to encumber nor to assign in any manner whatsoever the Pledged Credit or the Pledged Balanced.

La Ditta Finanziata conviene espressamente che:
a) qualora per ragioni attinenti al cambio di legislazione, di regolamenti o di direttive, o comunque per il verificarsi sul mercato internazionale dei capitali di situazioni tali che non consentano al XXX IMI di continuare a mantenere rapporti di provvista in valuta estera proveniente da tale mercato, spetterà alla Banca la facoltà di richiedere il rimborso anticipato del presente finanziamento per capitale, interessi e quant’altro dovuto ai sensi del contratto, rimborso che dovrà essere effettuato dalla Ditta Finanziata entro 15 giorni dal ricevimento della richiesta scritta da parte del XXX IMI ovvero nei termini e con le modalità che saranno indicati dal XXX IMI stesso nella richiesta medesima.
Il XXX IMI manifesta comunque la propria disponibilità a considerare, su richiesta della Ditta Finanziata, la possibilità di concedere un finanziamento in euro – di durata pari a quella residua della presente operazione e di importo corrispondente a quanto dovuto dalla Ditta Finanziata – alle condizioni al momento praticate dalla Banca per operazioni similari in euro.
b) qualora per le medesime ragioni anzidette il XXX IMI fosse tenuto a sostenere maggiori oneri, costi od indennizzi in ordine alla provvista relativa al presente finanziamento, spetterà alla Banca il diritto di rivalersi sulla Ditta Finanziata.
In tale ipotesi il XXX IMI ne darà tempestiva comunicazione scritta e la Ditta Finanziata è a rimborsare tali maggiori oneri, costi od indennizzi entro 30 giorni dalla richiesta.
L’inadempimento delle obbligazioni previste nel presente articolo darà alla Banca la facoltà di avvalersi della risoluzione di diritto del presente finanziamento.
ART. 10
E’ consentita l’estinzione anticipata – totale o parziale – del presente finanziamento, trascorsi 24 mesi dalla data odierna, senza corresponsione di penali.
L’estinzione sarà peraltro subordinata alle seguenti condizioni:
1) che la Ditta Finanziata risulti in regola con ogni obbligo dipendente dal contratto;
2) che il pagamento sia eseguito in corrispondenza di una delle scadenze fissate per il pagamento degli interessi a termini del precedente art. 4;
3) che la richiesta abbia carattere irrevocabile e sia dato alla Sede Territoriale Corporate Nord della Banca un preavviso scritto - a mezzo telefax o telegramma - di almeno 30 (trenta) giorni lavorativi bancari.

La Empresa Financiada conviene expresamente lo siguiente:
a) en caso de motivos relacionados con cambios en la legislación, reglamentaciones o directivas, o en caso de verificarse en el mercado internacional de capitales situaciones tales que no permitan a XXX IMI cumplir con la provisión de moneda extranjera proveniente de tal mercado, corresponderá al Banco la facultad de solicitar el reintegro anticipado del presente crédito en concepto de capital, intereses y toda otra suma adeudada por cualquier concepto derivado del presente contrato, reintegro que la Empresa Financiada deberá efectuar en el plazo de 15 días desde la recepción de la solicitud por escrito de XXX IMI o en los términos y con las modalidades que XXX IMI indicare en dicha solicitud.
XXX IMI manifiesta su total disponibilidad para considerar, a requerimiento de la Empresa Financiada, la posibilidad de otorgar un financiamiento en Euros por un periodo equivalente al restante en la presente operación y por el importe del saldo adeudado por la Empresa Financiada bajo las condiciones vigentes en el Banco para operaciones similares en Euros en ese momento.
b) en caso de que por las razones enumeradas anteriormente XXX IMI debiera enfrentar mayores cargas, costos e indemnizaciones con relación a la provisión de la presente financiación, corresponderá al Banco el derecho de obtener los reintegros correspondientes de la Empresa financiada.
En tal hipótesis, XXX IMI informará dicha situación por escrito, con la mayor brevedad posible, y la Empresa Financiada se obliga a reintegrar dichos gastos, costos e indemnizaciones dentro de los 30 días desde su solicitud.
El incumplimiento de las obligaciones previstas en el presente artículo facultará al Banco a resolver de pleno derecho el presente contrato de financiación.
ART. 10
Se admitirá la cancelación anticipada – total o parcial – del presente crédito, una vez transcurridos 24 meses desde la fecha de celebración del presente contrato, sin penalidad alguna.
La cancelación se encuentra subordinada a las siguientes condiciones:
1) que la Empresa Financiada se halle en cumplimiento regular de todas las obligaciones emergentes del presente contrato;
2) que el pago sea realizado al momento de operar alguna de las fechas de vencimiento establecidas para el pago de los intereses en los términos del anterior artículo 4;
3) que la solicitud tenga carácter irrevocable y que se envíe un preaviso escrito – ya sea por telefax o telegrama – a la Sede Territorial Corporate Nord del Banco con una anticipación de por lo menos 30 (treinta) días hábiles bancarios.
