Texte source - italien Si è non arbitrariamente supposto che la chiesa attuale sia sorta con proprie fondamenta a fianco, e non sopra, la precedente cattedrale, ovvero quella che nel dittico episcopale è detta antiquitus episcopalem ecclesiam. C’è infatti chi ritiene che fino all’edificazione dell’odierna cattedrale a farne le veci, se non San Pietro, fosse una chiesa dislocata nei pressi: o dove sorgeva quella di Santa Maria Piccola (o Rotonda), divenuta nel XVI secolo oratorio della Confraternita dei Dottori (ipotesi suffragata dal ritrovamento di diverse sepolture paleocristiane nell’area prospiciente l’oratorio) o dove tuttora esiste la chiesa di Santa Caterina (o, meglio, la sua torre campanaria). Se fu il vescovo Primo (991- 1019) ad iniziare, forse dalla cripta, la fabbrica del Duomo; se alla cattedrale in via di costruzione Dudone (1023-1033) affiancò un collegio canonicale; a San Guido (1034-1070), loro successore, sono generalmente attribuiti il completamento e la consacrazione di Santa Maria Maggiore, avvenuta nell’anno 1067. È questa la data che si legge sia sul mosaico (ora conservato presso il Museo Civico d’Arte Antica di Torino) scoperto nel 1845 sotto il pavimento del presbiterio sia sul portale maggiore della chiesa, realizzato nel 1481.
La cattedrale ha pianta a croce latina e transetto aggettante. Nonostante le modifiche e le ristrutturazioni via via subite, essa non ha del tutto smarrito l’unitarietà delle forme originali. La facciata romanica in pietra a vista, in origine priva del pronao, del campanile, del rosone e delle porte laterali, era caratterizzata da una decorazione ad archetti pensili interrotti da due lesene che scandivano lo sviluppo della navata centrale e delimitavano il primitivo portale, forse dotato di protiro.

The Cathedral has a Latin cross shaped plan and projecting transept. Despite the gradually implemented changes and renovations, it did not completely lose the unity of the original forms. The exposed stone Romanesque façade, originally devoid of pronaos, bell tower, rose window and lateral doors, was characterised by a decoration of hanging arches interrupted by two pilasters denoting the development of the nave and delimiting the primitive portal, perhaps equipped with prothyrum.

Dall’analisi dei documenti relativi al progetto di XXX e dal colloquio con il borrower del 22/01/2016 sono emerse alcune criticità relative a:
1. Accordi con amministrazione comunale,
2. Adozione del “Progetto XXX”,
3. Cambio destinazione d’uso,
4. Rapporti commerciali.
Entrando nel dettaglio:
1.1 Accordi con amministrazione comunale
Il borrower durante il colloquio ha manifestato la sua posizione circa la richiesta di completamento delle opere relative al progetto licenziato, formalmente scaduto. Le possibilità di completare le opere sono attuabili attraverso due procedure: proroga ovvero rinnovo del titolo abilitativo; la prima non prevede ulteriori oneri, mentre la seconda comporta il pagamento della quota di oneri calcolata sulla parte di opere non realizzate.
XXX ritiene che il Comune debba rilasciare una proroga quale atto dovuto, perché un errore catastale di cui XXX non è responsabile ha impedito la costruzione del fabbricato e quindi ha portato alla scadenza del titolo abilitativo. Tale errore consiste in una incongruenza tra proprietà catastale di XXX e delimitazione del comparto C4 del P.U.O., che eccederebbe di 36 m2 rispetto alla particella 526 - Fg.821.
L’avvio della procedura per la cessione dell’area da parte del Comune, richiesta in data 03/11/15 alla U.O.T. al Dipartimento Patrimonio Sviluppo e Valorizzazione, ha avuto esito positivo con la risposta del Dipartimento (28/12/15 - prot. 33649) che, nei fatti, non ravvede alcuna conseguenza per il resto del piano, alla cessione dell’area.
Se viceversa il Comune non riconoscerà la causa tecnica di impedimento della conclusione dei lavori, essa potrà essere attuata solo con un legittimo rinnovo del permesso di costruire; ciò comporterà il pagamento degli oneri sul costo di costruzione delle opere non completate.
La questione verrà risolta con supporto legale.
Per le ragioni di cui sopra nei business plan dei due scenari saranno inseriti i costi pari a circa XXX €M per il pagamento degli oneri di costruzione.
1.2 Adozione del “Progetto XXX”
Il progetto licenziato non ha beneficiato delle cubature aggiuntive concesse dall’applicazione della Legge “XXX” ed è quindi possibile usufruirne entro la data di scadenza dello stesso, 31/01/2017 (vedi successivo paragrafo VII.2).
1.3 Cambio destinazione d’uso
Il progetto del PdC approvato è caratterizzato da una forte componente ricettiva ed in una parte minore direzionale, con uno dei due fabbricati completamente destinato ad ospitare uffici. In considerazione della location si ipotizzerà nei paragrafi successivi anche la trasformazione dell’intero intervento in un unico complesso alberghiero, gestito da un importante brand del settore.
1.4 Rapporti commerciali
Dai colloqui con il borrower, è emersa la medesima volontà di avviare una modifica progettuale, con cambio di destinazione d’uso della parte direzionale in ricettivo; al riguardo egli ha esplicitato di aver già avuto contatti con alcuni brand per la gestione alberghiera e con la società XXX e l’ente WWF per realizzare il primo albergo completamente autosufficiente di Italia con certificazione LEED gold.

From analysing the documentation provided in the XXX project and from the meeting with the borrower held on 22/01/2016, some critical issues emerged, which are mainly related to:
1. The agreements with the Municipal Administration;
2. The adoption of the “XXX”;
3. The change of use;
4. Business relationships.
In details:
1.1 Agreements with the Municipal Administration
During the meeting, the Borrower stated his position about the formally expired project authorisation for the completion of works. The possibility to complete the works is feasible through two procedures: extension or renewal of the authorisation. The first one does not provide additional charges while, the second one, entails the payment of the share of charges calculated on the part of unrealised works.
XXX believes that the Municipality must issue an extension as usually the procedure requires one when a cadastral error prevents the construction of a building, therefore when not bearing responsibility for the expiration of the authorisation. This error consists of a discrepancy between the cadastral property of XXX and the border of the Section C4 of the P.U.O. Ostiense Urban Plan, which would exceed of 36 Sqm compared to the Parcel 526 – Page 821.
The beginning of the procedure for the transfer of the area from the Municipality, required to the U.O.T. Technical Office of the Urban Plan, Implementation and Enhancement Department on 03/11/2015, have had a positive outcome with the reply of the Department (28/12/15 – File Ref. No. 33649) that, in point of fact, does not consider any consequence to the remainder of the plan, to the transfer of the area.
If, on the contrary, the Municipality does not acknowledge that the impediment to conclude the works was due to a technical cause, it will be possible to implement them only with a lawful renewal of the planning permission. The latter will entail the payment of charges on the construction costs for uncompleted works.
The issue will be solved with using legal support.
For the previously mentioned reasons, in the business plans of both scenarios are reported costs for approximatively XXX €M for the payment of construction fees.
1.2 Adoption of the “XXX”
The authorised project did not benefit of the additional volumes granted by the implementation of the XXX Law; therefore, it is possible to use them before its expiration date: 31/01/2017 (please refer to the subsequent paragraph VII.2).
1.3 Change of intended use
The approved Planning Permission project is characterised by a strong hospitality component and, in a minor part by an office one (with one of the two buildings completely intended for offices use). Considering the location, in the next paragraphs, the transformation of the whole intervention in a single hotel complex, managed by an important industry brand will be also hypothesised.
1.4 Commercial Relationships
From the meeting with the borrower, same intentions to begin a design modification emerged by changing the use of the office part into hotel; in this regard, he informed us that he is already in contact with some brands regarding the hotel management as well as with the Company XXX and WWF in order to achieve the first Italian hotel completely autonomous with LEED gold certification.
