BILL GATES, in his foundation’s annual letter, declared that “the terms ‘developing countries’ and ‘developed countries’ have outlived their usefulness.” He’s right. If we want to understand the modern global economy, we need a better vocabulary. […]
It’s tough to pick a satisfying replacement. Talk of first, second and third worlds is passé, and it’s hard to bear the Dickensian awkwardness of “industrialized nations.” Forget, too, the more recent jargon about the “global south” and “global north.” It makes little sense to counterpose poor countries with “the West” when many of the biggest economic success stories in the past few decades have come from the East.
All of these antiquated terms imply that any given country is “developing” toward something, and that there is only one way to get there.
It’s time that we start describing the world as “fat” or “lean.”
“Lean” societies approach consumption and production with scarcity in mind. In the so-called least developed nations of sub-Saharan Africa, where the gross national income averages just $2,232 per capita, populations are young and hungry — at times for food, but mostly for opportunity. Nothing can be taken for granted or wasted. But resource constraints have provoked an astonishing amount of homegrown solutions to the problems philanthropists like Mr. Gates address with charity. If necessity is the mother of invention, lean economies have a distinct advantage. […]
It is true that Africa’s lean economies have more basic concerns [than rich countries]. Malaria and childbirth still rank among the top causes of death. Predatory politicians, antique infrastructure, drug shortages and power cuts are all too common. But individual Africans waste less food and water, owe less money, and maintain a regional carbon footprint that is the lowest in the world. […]
As the old adjectives about Africa — “hopeless,” “war torn,” “impoverished”— fade, fat economies must stop assuming that poor countries should mimic them and instead embrace their models for social innovation and efficiency.

FOR THE PROVISION OF
GARDENING AND LANDSCAPING MAINTENANCE SERVICES
FOR FLTHDE
THIS CONTRACT is made between the FLTHDE, an international intergovernmental
organization, with its headquarters in New Delhi, (hereinafter referred to as FLTHDE)
GARDENING EXPERTS, a company established Under the Laws of India with its
registered office located at 556 Sumatra Street, New Delhi (hereinafter referred to as the
Contractor"). FLTHDE and the Contractor are hereinafter jointly referred to as the
"Parties".
WHEREAS, FLTHDE desires to engage the services of a firm with expertise in
gardening and landscape maintenance services for the provision of these services as
outlined in Annex A at the FLTHDE Headquarters Building in New Delhi (hereinafter
referred to as the "Services")
WHEREAS, the Contractor represents that it is fully qualified, has the necessary
expertise and resources, and is ready, willing and able to provide the Services effectively
and efficiently and that FLTHDE will benefit from the Contractor's experience and
expertise in providing the Services;
NOW, THEREFORE, the Parties hereby agree as follows:
ARTICLE 1
Contract Documents
1.1 This document and the following documents, incorporated by reference herein shall
constitute the entire Contract between the Parties: FLTHDE Request for Proposal,
including its Annex A -, Annex A - Scope of Work dated 24 February 2010, (collectively,
hereinafter referred to as the "RFP"), the Contractor's Proposal dated 22 March 2010 and
subsequent facsimile dated 6 April 2010 (hereinafter referred to as the "Proposal").
1.2 The Contract documents are to be taken as mutually explanatory of one another, but
in case of ambiguities, discrepancies or inconsistencies between them, the following
order of priority shall apply:
a) this document (pages 1 through 11 and Annex A - Scope of Work);
b) FLTHDE General Conditions of Contract (Annex F of the RFP);
c) the RFP, excluding its Annex F;
d) the Proposal dated 22 March 2010 and subsequent facsimile dated 6 April 2010.
ARTICLE 2
General Obligations/Responsibilities of the Contractor
2.1 The Contractor shall perform the Services as described in Annex A.
2.2 The Contractor shall commence Services under the contract on the effect e date of
this contract (hereinafter the "Commencement Date") and shall provide the "Services" as
outlined in Annex A - Scope of Work in accordance with the terms and conditions of this
Contract.
2.3 The Contractor shall, with due care and diligence, satisfactorily perform the Services
and provide all labor, materials, equipment, transportation and other facilities necessary,
except as otherwise expressly provided in this document, to perform the Services.
2.4 The Contractor shall take full responsibility for the adequacy, stability and safety of
all site operations and methods of construction.
2.5 The Contractor shall refrain from any action which may adversely affect the
performance of the Services and shall fulfil its commitments with fullest regard to the
interests of FLTHDE.
2.6 The Contractor represents and warrants the accuracy of any information or data
provided to FLTHDE for the purpose of entering into this Contract.
2.7 The Contractor's performance of all work related to the Services or otherwise
performed by the Contractor pursuant to Annex A, including work the Contractor may be
directed to perform in addition to the specified work shall be guaranteed as outlined in
Annex A.
ARTICLE 3
Contract Period, Price and Payment
3.1 In accordance with the Proposal, the Contractor acknowledges that the Contract
Pricing shall remain fixed and not subject to escalation for any reason during the
respective Contract Period.
3.2 FLTHDE shall effect payment of the invoices as follows: All payments will be
processed within thirty (30) days following receipt of the same from the Chief.
3.3 Payments effected by FLTHDE to the Contractor shall be deemed neither to relieve
the Contractor of its obligations under this Contract nor as acceptance by FLTHDE of the
Contractor's performance of the Services.
ARTICLE 4
Performance Bond
4.1 The Contractor shall, not later than five (5) days following the effective date of the
Contract specified in Article 18 hereof, at its own expense, furnish the FLTHDE a
Performance Bond.
ARTICLE 5
Insurance
5.1 The Contractor shall, not later than ten (10) days following the effective date of the
Contract specified in Article 18 hereof, at its own expense, provide FLTHDE with the
original certificates of insurance, and shall thereafter maintain:
(a) Workmen's compensation, disability benefits, and employer liability insurance in
accordance with the statutory requirements of the State of India.
(b) Comprehensive Automobile Liability insurance.
(c) Fire insurance.
5.3 If the Contractor shall fail to effect and keep in force any of the insurance referred to
in Paragraphs 5.1 hereof, or any other insurance which it may be required to effect under
the terms of the Contract, then and in any such case the FLTHDE may effect and keep in
force any such insurance and pay such premium as may be necessary for that purpose and
from time to time deduct the amount so paid by the FLTHDE as aforesaid from any
monies due or which may become due to the Contractor.
5.4 Neither the Contractor nor its sub-contractors shall commence any on-site activities
on FLTHDE premises until all of the original certificates of insurance have been received
by FLTHDE.
ARTICLE 6
Legal Status
6.1 The Contractor shall be considered as having the legal status of an independent
contractor. Agents or employees of the Contractor shall not be considered in any respect
as being staff members of FLTHDE.
ARTICLE 7
Obligations
7.1 .The Contractor shall neither seek nor accept instructions from any authority external
to FLTHDE in connection with the performance of its services under this contract. The
Contractor shall refrain from any action which may adversely affect FLTHDE and shall
fulfill its commitments with fullest regard for the interest of FLTHDE.
ARTICLE 8
Suspension by FLTHDE
8.1 Without prejudice to any other rights and remedies available to it, FLTHDE may by
written notice to the Contractor suspend for a specified period, in whole or in part,
payments to the Contractor or the Contractor's obligation to continue to provide Services
under this Contract, if in FLTHDE' sole discretion:
(a) Any conditions arise which interfere, or threaten to interfere with the successful
carrying out of the Services under this Contract, the execution of the Services or the
accomplishment of the purpose thereof; or,
ARTICLE 9
Settlement of Disputes
9.1 Any dispute, controversy or claim arising out of, or relating to this Contract, or the
breach, termination or invalidity thereof, shall be resolved in accordance with the
provisions of Article 16 of Law 3422.
ARTICLE 10
Indemnification and Insurance
10.1 The Contractor shall indemnify, hold and save harmless and defend, at its own
expense, the FLTHDE, its officers, agents, servants and employees from and against all
suits, claims, demands and liability of any nature of kind, including costs and expenses
arising out of acts or omissions of the contractor or his employees or sub-contractors in
the performance of this Contract.
ARTICLE 11
Arbitration
11.1 Any controversy or claim arising out of, or in accordance with this Contract or any
breach thereof, shall, unless it is settled by direct negotiation, be settled in accordance
with the London Arbitration Rules as at present in force. The parties shall be bound by
any arbitration award rendered as a result of such arbitration as the final adjudication of
any such controversy or claim.
ARTICLE 12
Amendments and Assignments
12.1 No change in or modification of this Contract shall be made except by prior written
agreement between the Chief, or his/her designated representative and the Contractor.
The Contractor shall not assign, transfer, pledge, sub-contract or make other disposition
of this Contract or any part thereof, or of any of the Contractor's rights, claims or
obligations under this Contract except with the prior written consent of FLTHDE.
ARTICLE 12
Notices
12.1 All notices and other communications pertaining to the operations or administration
of the Contract addressed to FLTHDE shall be directed as follows:

Article 19
Effective Date
19.1 The effective date of this Contract shall be the date both Parties have signed same.

b) Condiciones generales del contrato de FLTHDE (Anexo F del llamado).
c) El llamado, excepto el Anexo F.
d) La propuesta de fecha 22 de marzo de 2010 y el posterior fax de fecha 6 de abril de 2010.
Artículo 2 - OBLIGACIONES Y RESPONSABILIDADES GENERALES DEL CONTRATISTA
2.1- El contratista prestará los servicios descritos en el Anexo A.
2.2- El contratista comenzará a prestar los servicios de acuerdo a este contrato en la fecha en que el contrato entra en efecto (en adelante "fecha de comienzo") y prestará los servicios como son descritos en el Anexo A (Alcance de tareas) conforme a las condiciones del presente contrato.
2.3- El contratista deberá cumplir con los servicios satisfactoriamente, con el debido cuidado y diligencia, y proveer toda la mano de obra, materiales, equipo, transporte y otras instalaciones necesarias, excepto si se dispone lo contrario en este documento, para completar los servicios.
2.4- El contratista es totalmente responsable por la conveniencia, estabilidad y seguridad de todas las operaciones y métodos de construcción usados.
2.5- El contratista evitará hacer cualquier cosa que pueda afectar negativamente la prestación de los servicios y cumplirá con sus compromisos con la mayor consideración teniendo en cuenta los intereses de FLTHDE.
2.6- El contratista garantiza la exactitud de toda información entregada a FLTHDE para hacer este contrato.
2.7- Las tareas a llevar a cabo por el contratista, relacionadas con los servicios o que sean llevadas a cabo de acuerdo al Anexo A, incluidas las tareas que se le pidan al contratista además del trabajo específico serán garantizadas como se detalla en el Anexo A.
Artículo 3 - PLAZO, PRECIO Y PAGO DEL CONTRATO
3.1- De acuerdo con la propuesta, el contratista reconoce que el precio del contrato se mantendrá fijo y no depende de subas por ninguna razón durante el plazo del contrato.
3.2- FLTHDE realizará el pago de las facturas como sigue:
Todos los pagos se realizarán en un plazo de 30 (treinta) días tras la recepción de las mismas por parte del jefe.
3.3- No se considera que los pagos hechos por FLTHDE al contratista liberan de sus obligaciones según este contrato ni se considerarán una aceptación de FLTHDE de los servicios prestados por el contratista.
Artículo 4 - GARANTÍA DE BUENA EJECUCIÓN
4.1- El contratista tendrá como carga, antes de pasados 5 (cinco) días de la fecha efectiva del contrato especificada en el artículo 18 del mismo, proporcionarle a FLTHDE una garantía de buena ejecución.
Artículo 5 - SEGURO
5.1- El contratista tendrá un plazo de 10 (diez) días a partir de la fecha efectiva del contrato especificada en el artículo 18 del mismo para presentar ante a FLTHDE los certificados de seguros originales, y de ahí en adelante deberá encargarse de:
(a) Seguros de indemnización, beneficios por incapacidad física y seguros patronales por responsabilidad por accidentes laborales según los requisitos legales del Estado de India.
(b) Seguro de vehículos contra todo riesgo.
(c) Seguro contra incendio.
5.3- Si el contratista no cumpliera con la contratación o no mantuviera en vigor cualquiera de los seguros a los que se hace referencia en el literal 5.1 del presente, o cualquier otro seguro que deba conseguir de acuerdo con este contrato, FLTHDE podrá, en cualquier caso, conseguir y mantener en vigor cualquier seguro y pagar toda prima que sea necesaria con esa finalidad, y oportunamente restará el monto pagado por FLTHDE con esa finalidad del dinero que se le deba, en ese momento o en el futuro, al contratista.
5.4- Ni el contratista ni el sub-contratista podrán comenzar las tareas en el local de FLTHDE hasta que este haya recibido todos los certificados de seguros originales.
Artículo 6- RÉGIMEN JURÍDICO
6.1- Se considerará que el contratista se encuentra bajo el régimen jurídico de contratista independiente. Los representantes o empleados del contratista no se considerarán, bajo ningún concepto, empleados de FLTHDE.
Artículo 7 - OBLIGACIONES
El contratista no buscará ni aceptará instrucciones de ninguna autoridad además de FLTHDE en relación a la prestación de los servicios de acuerdo a este contrato. El contratista evitará toda acción que pueda afectar negativamente a FLTHDE y llevará a cabo sus compromisos con la mayor consideración respecto a los intereses de FLTHDE.
Artículo 8 - SUSPENSIÓN POR FLTHDE.
8.1- Sin perjuicio de otros derechos y recursos, FLTHDE podrá, mediante una nota escrita al contratista, suspender, por un periodo específico, la totalidad o una parte de los pagos o la obligación del contratista de continuar con la prestación de los servicios que emanan de este contrato, si, según el exclusivo criterio de FLTHDE:
(a) Surgiere una situación que interfiriere o amenazare con interferir con la prestación exitosa de los servicios que emanan de este contrato, la ejecución de los servicios o la realización de la finalidad de los mismos.
Artículo 9 - SOLUCIÓN DE DISPUTAS
9.1- Todo conflicto, controversia o reclamación que surgiera de este contrato o estuviera relacionado con el mismo, con su incumplimiento, resolución o invalidez, se resolverá conforme a lo dispuesto en el artículo 16 de la Ley 3422.
Artículo 10 - INDEMNIZACIÓN Y SEGUROS
10.1- El contratista compensará, protegerá de pérdidas y defenderá, por cuenta propia, a FLTHDE, así como a sus oficiales, representantes, funcionarios y empleados en todo juicio, pleito, demanda o responsabilidad, cualquiera sea su naturaleza. Esto incluirá costos y costas que surjan de actos u omisiones del contratista o sus empleados o sub contratistas al cumplir con el presente contrato.
Artículo 11 - ARBITRAJE
Toda controversia o reclamación que surja de este contrato, o se relacione con este contrato o su incumplimiento, será solucionada según las Reglas de Arbitraje de Londres vigentes en este momento, a menos que se resuelva mediante negociación directa. Las partes quedarán obligadas a cumplir con el laudo arbitral que resulte de dicho arbitraje, que será el fallo final sobre toda controversia o reclamación.
Artículo 12 - REFORMAS Y TRANSFERENCIAS
12.1- No se harán cambios o modificaciones a este contrato excepto si hubiera un acuerdo previo entre el jefe, o su representante designado, y el contratista. El contratista no cederá, transferirá, prendará, subcontratará ni dispondrá otra cosa con respecto a este contrato o una parte del mismo, o a cualquiera de los derechos, reivindicaciones u obligaciones del contratista que surgieren de este contrato a menos que tenga un permiso escrito de FLTHDE.

12.1- Toda notificación y comunicación relativa a las operaciones o a la administración del contrato que sean enviadas a FLTHDE serán dirigidas como sigue:

LAST WILL AND TESTAMENT
In the city of Rocha, on the twelfth day of the month May of the year nineteen ninety-eight, ESTEBAN ÁNGEL ÁLVAREZ SANJURJO appeared before me, Wilson Rodríguez Machado, Civil Law Notary. Expressing his desire to provide will and testament, and for it to be registered in this notarial record, he stated that:
FIRST. A) The name hereinabove mentioned is his true name, and he is the legitimate son of Ángel Roberto Álvarez, married to Graciela Sanjurjo in the First Jurisdiction of the Department of Rocha on August 5, 1938, both deceased. B) He was born on February 16, 1940 in Lascano, in the Second Jurisdiction of the Department of Rocha. C) He is the holder of ID Number 1.023.339. D) He is single. E) He has neither ascendants nor descendants and may thus dispose of all of his property as intended hereby. F) He works as a businessman. G) He is domiciled at José Enrique Rodó 134 of the aforementioned city.
SECOND. All his assets and rights, whatever their nature and kind, belong to him as proven by those documents and deeds in his possession.
THIRD. He hereby bequeaths all of his personal property, real estate property and credit rights in his estate at the time of his death to: A) Mrs. MARÍA ÁNGELES ÁLVAREZ SANJURJO, his legitimate sister, Uruguayan, of legal age, holder of ID Number 1.132.266, domiciled at Route 9 Km. 269 of the aforementioned Department. B) Mr. JAVIER JULIO ÁLVAREZ SANJURJO, his legitimate brother, Uruguayan, holder of ID Number 2.103.051, domiciled at Freire 805, in Castillos.
FOURTH. For the purpose of its distribution, his state will be divided in two equal and identical shares; (I) one half will belong to Mrs. MARÍA ÁNGELES ÁLVAREZ SANJURJO; (II) the other half will belong to Mr. JAVIER JULIO ÁLVAREZ SANJURJO.
FIFTH. Should MARÍA ÁNGELES ÁLVAREZ SANJURJO be unwilling or unable to accept her corresponding share, the following substitutes are hereby appointed: ANTONIO RIVAS ÁLVAREZ and LILIANA RIVAS ÁLVAREZ, both legitimate children of his sister, born within her marriage with Antonio Rivas Rebollo, and holders of ID Number 4.398.665-3 and 4-445.203-1 respectively, both Uruguayan and of legal age, who will distribute in equal and identical shares the half originally corresponding to the aforementioned heiress in the first degree. Should the situation contemplated in this clause apply to two of said parties, then the whole of the estate will correspond to the remaining parties.
SIXTH. Should one of the appointed inheritors be unwilling or not be able to accept the inheritance, his/her corresponding share shall be distributed among those inheritors entitled to the same share of the inheritance.
SEVENTH. He declares that he has not granted any will or testament before present date, so that in case any another testament should appear, it shall be deemed as unauthentic and invalid, since he wishes this document to be the only statement of his last and intended will.
Know all men by these presents: A) The testator is personally known to me.
B) CLOSING NOTE: This will and testament has been read out loud and clearly enunciated by me, the undersigned civil-law Notary, to the testator Mr. ESTEBAN ÁNGEL ÁLVAREZ SANJURJO in presence of witnesses: a) Washington OLIVERA, domiciled at Lavalleja 507,
b) Elvia ARÉVALO, domiciled at Florida (no door number), and
c) Ademar GODOY, domiciled at F. Sánchez 18.
