Not sure how to phrase this in the context of the following paragraph.

Toute action en l’absence de catégories d’actions, ou toute action d’une même catégorie d’actions dans le cas contraire, donne droit à une part nette proportionnelle à la quotité de capital qu’elle représente, dans les bénéfices et réserves ou dans l’actif social lors de toute distribution, amortissement ou répartition, en cours de société, comme en cas de liquidation, ceci dans les conditions et modalités par ailleurs éventuellement stipulées dans les présents statuts.

At the moment I've translated it for the event there are no share categories, and then followed up with "Where share categories exist, the same applies within the confines of the category." All help appreciated.

neutral MatthewLaSon : I wouldn't say "all", but rather "any." toute action = any share . However, "any" implies "all." It just sounds awkward to say "all" here. Also, "class" if preferred to "category."

There can be different categories of shares, with different rights (vote, etc.)

I agree with rkillings - who seems to be one of the few contributors who seem to know corporate-specific AE or BE terminology.

The wording need not be turned round by using entitled to or ranking for.

Example sentence:

2.4 The holders of the "J" class of shares shall be entitled to the ... of issue which Dividend (together with any arrears or deficiency) shall rank for ...

This is how I'd say it.

toute = any

d'une même catégorie d'actions = within in same share class

In English, we seem to say "class" instead of "categories."
