The shares taken by the subscribers to the Memorandum of Association and those to be Allotted pursuant to the application shall be duly issued by the Directors. Suject as aforesaid, the shares shall be under the control of the Directors, who may allot and issue the same (subject always to Articles 3 and 43 hereof) to such persons on such terms and conditions and at such times as the Directors think fit, but so that no shares shall be issued at a discount except in accordance with Section 89 of the Act. Any preference share may, with the saction of a special resolution, be issued on the terms that it is, or at the option of the Company is liable, to be redeemed Provided that should any of the subscribers fail to pay for the shares he has agreed to take within 60 days from the date of incorporation of the Company such shares ahll thereafter be deemed to have been forfeited and the provisions of the Article 36 in respect of notice and of Article 37 in respect of a resolution of the Directors shall not apply in any such case.

Las acciones tomadas por los subscriptores al Acta Constitutiva y aquellas a ser adjudicadas de conformidad a lo solicitado serán emitidas por los Directores. Tal y como se menciona anteriormente, las acciones se encontrarán bajo el control de los Directores, quienes podrán distribuir las mismas (sujetos siempre a los Estatutos 3 y 43 aquí contenidos) a las personas que ellos juzguen apropiadas, bajo los términos y las condiciones y en los momentos que juzguen apropiados; sin embargo, ninguna acción será emitida con descuento, salvo conforme a la Sección 89 de la Ley. Cualquier acción preferencial bajo sanción de una resolución especial, podrá ser emitida bajo los términos de que será o, según decida la Empresa, que sea responsable para ser canjeada, siempre que alguno de los subscriptores incumpla en el pago de las acciones de las que haya acordado tomar posesión dentro de 60 días a partir de la fecha en la cual la Empresa se incorpora, perdiendo así el derecho a dichas acciones y según lo dispuesto en el Estatuto 36 respecto a la notificación y en el Estatuto 37 respecto a una resolución de los Directores no aplicará en ningún caso.

B) PIGNORACIÓN. Los accionistas se obligan a poner en conocimiento de la Sociedad (por medio del Órgano de Administación) en caso de pignoración de sus acciones, así como a informar a dicho órgano de cualquier embargo o ejecución judicial que las pudiere afectar.

En todo caso y en el supuesto de remate, cuando se produzca la transmisión como consecuencia de un procedimiento judicial o administrativo de ejecución, la Sociedad podrá rechazar la inscripción de la transmisión a favor del adquiriente, presentando al efecto otro adquiriente u ofreciendo adquirirlas la propia sociedad por su precio de remate.

C) MORTIS CAUSA, POR DISPOSICIÓN JUDICIAL O EXTRAJUDICIAL O POR CUALESQUIERA OTROS PROCEDIMIENTOS QUE SEAN INDEPENDIENTES DE LA VOLUNTAD DEL SOCIO. Todas las transmisiones estarán sujetas a las mismas limitaciones y formalidades que las “inter vivos” a que se refiere el apartado A) de este artículo, pero transformado en derecho de retracto. A tal fin el adquiriente deberá notificar el hecho de su adquisición y demás condiciones de la misma, a fin de iniciar el procedimiento establecido en este artículo, para la posible adquisición de las acciones por los demás accionistas de la Sociedad, cumpliéndose los requisitos, plazos, y formas de determinación del precio indicados.

En estos casos y en conjunto el ejercicio del derecho deberá recaer sobre la totalidad de las acciones objeto de la transmisión, a menos que el oferente indique expresamente otra cosa.

En caso de que no fuere ejercitado el derecho de retracto sobre todas o parte de las acciones, el adquirente de las mismas quedará plenamente legitimado como accionista frente a la Sociedad, la cual no podrá rechazar la inscripción de la transmisión a su favor, salvo que presente al efecto otro adquirente u ofrezca adquirirlas la propia Sociedad por su valor razonable en el momento en que se solicitó la inscripción, determinado por un Auditor de Cuentas en la forma prevista en el artículo 64 de la Ley.

B) PIGNORATION. Shareholders are obligated to inform the Corporation (by the way of the Administrative Body) in case of pignoration of their shares, as well as to inform such body of any type of attachment, lien or court order that could affect their shares.

In case of an auction, when the transfer of ownership occurs as a result of a court or administrative proceeding or order, the Corporation can reject the recording of the transfer of ownership in favor of the buyer, presenting another buyer or making an offer to purchase the shares by the same corporation, at the auction price.

C) MORTIS CAUSA, BY EITHER EXTRAJUDICIARY JUDICIARY RESOLUTION OR BY ANY OTHER PROCEEDINGS THAT ARE INDEPENDENT FROM THE WILL OF THE SHAREHOLDER. All the transfers of ownership will be subject to the same limitations and formalities as the “inter vivos” referred to under item A) in this article, but transformed in retrospective right of first refusal. For this purpose, the buyer must give notice with respect to the purchase and other conditions related to the same, in order to start the procedure established in this article, for the possible purchase of the shares by the rest of the shareholders in the Corporation, fulfilling the requirements, terms and form of the determination of the price.

In such cases and together the execution of the right must fall over the total number of shares object of the transfer, unless the bidder indicates something different.

In case the retrospective right of first refusal is not exercised over all or part of the shares, the buyer will be full legalized as a shareholder before the Corporation, which will not be able to refuse the recording of the transfer of ownership in favor of the buyer, except if the Corporation offers another buyer or is willing to purchase the shares at a reasonable price at the time when the buyer requests the recording, and as determined buy an Auditor of Accounts in the form foreseen under Article 64 in the Law.

• La evaluación trata de obtener un aprendizaje y conocimiento integral de la intervención pública que examina. Puede referirse tanto a los procesos de diseño, como a los de aplicación, desarrollo y finalización de dicha intervención.
  
• La evaluación incorpora un juicio valorativo basado en evidencias y criterios referenciales.
  
• La evaluación supone la aplicación sistemática de un método de planificación, recogida, tratamiento e interpretación de la información que garantice el rigor y la validez de la valoración.

Evaluation is defined as a comprehensive observation, measurement, analysis, and interpretation process geared towards the knowledge of a public intervention, regulation, program, plan, or policy which allows us to reach an assessment based on evidence regarding its design, practice, effects, results, and impact. The purpose of the evaluation is to be useful to the decision makers and the public administrators, as well as to the people.

Points of reference in carrying out the evaluations:

• The Agency sees the evaluation as an institutional activity, framed by a political governance, modernization, and administrative innovation program.
  
• The evaluation attempts to learn and obtain comprehensive knowledge from the public intervention that it examines. It may refer to design processes as well as application, development and completion of said intervention.
  
• The evaluation includes an assessment based on evidence and referential criteria.
  
• The evaluation includes the systematic application of methods of planning, gathering, treating and interpreting the information which guarantees the precision and the validity of the assessment.
