(partial) business transfer agreement

is a possibility if context allows (ie if this refers to the transfer of a particular set of assets, relating to an identifiable activity/section of their business).

As this is a heading, if what follows explains the deal, you could even try something like "Sale/transfer of xxx business/assets". Good luck!
