Texte source - anglais ARTICLE II. MEETINGS OF STOCKHOLDERS
Section 1. Time and Place
A meeting of stockholders for any purpose or purposes may be held at such time and place, within or outside the State of Delaware, as shall be stated in the notice of the meeting or in duly executed waiver of notice thereof.
Section 2. Annual Meetings
Annual meetings of stockholders, commencing with the year 2002, shall be held on the first Tuesday of April if not a legal holiday, then on the following business day, or at such other date and time as shall be designated from time to time by the board of directors and stated in the notice of the meeting, at which the stockholders shall elect a board of directors and transact such other business as may properly come before the meeting.
Section 3. Special Meetings
Special meetings of stockholders, for any purpose or purposes, unless otherwise prescribed by law or by the certificate of incorporation, may be called by the president or the board of directors and shall be called by the president or secretary at the request, in writing, of a majority in amount of the entire capital stock of the Corporation issued and outstanding and entitled to vote. Business transacted at any special meeting of stockholders shall be limited to the purposes stated in the notice.
Section 4. Notice of Meetings
Written notice of a meeting, annual or special, stating the place, date and hour of the meeting, and in the case of a special meeting stating the purpose or purposes for which the meeting is called, shall be given to each stockholder entitled to vote at such meeting, not less than five nor more than sixty days prior to the date of such meeting.
Section 5. Stockholder List
The officer who has charge of the stock ledger of the corporation shall prepare or cause to be prepared and make, at least ten days before every meeting of stockholders, a complete list of the stockholders entitled to vote at the meeting, arranged in alphabetical order and showing the address of each stockholder and the number of shares registered in the name of each stockholder. Such list shall be open to the examination of any stockholder, for any purpose germane to the meeting, during ordinary business hours, for a period of at least ten days prior to the meeting, either at a place within the city where the meeting is to be held, which place shall be specified in the notice of the meeting, or, if not so specified, at the time and the place where the meeting is to be held. The list shall also be produced and kept at the time and place of the meeting during the whole time thereof and may be inspected by any stockholder who is present.

L'assemblée générale des actionnaires de la société, quelque soit son ordre du jour, se tient au moment et à l'endroit spécifiés dans la convocation à cette même assemblée ou dans la dispense de convocation dûment signée, dans l'Etat du Delaware ou en dehors de ce dernier.
2. Assemblée générale ordinaire
L'assemblée générale ordinaire des actionnaires de la société a lieu, à compter de l'année 2002, le premier mardi du mois d'avril lorsque ce jour n'est pas férié; dans ce dernier cas, l'assemblée a lieu le premier jour ouvré postérieur à cette date ou à toute autre date fixée à tout moment par le conseil d'administration et mentionnée dans la convocation à ladite assemblée, au sein de laquelle les actionnaires élisent le conseil d'administration et délibèrent valablement sur tout autre sujet dûment porté à l'ordre du jour.
3. Assemblée générale extraordinaire
L'assemblée générale extraordinaire des actionnaires, quelque soit son ordre du jour, sous réserve des dispositions légales ou du certificate of incorporation (acte de constitution), est convoquée à l'initiative du président ou du conseil d'administration, ou par ces derniers sur demande écrite des actionnaires détenant une part majoritaire du capital social émis et en circulation et représentant des droits de vote. L'assemblée extraordinaire ne délibère valablement que sur les sujets dûment inscrits à l'ordre du jour mentionné dans l'avis de convocation.
4. Convocation aux assemblées.
Pour la tenue de toute assemblée ordinaire ou extraordinaire, un avis de convocation mentionnant les lieu, date et heure de ladite assemblée, et dans le cas d'une assemblée extraordinaire, son ordre du jour, est remis à chaque actionnaire habilité à voter à ladite assemblée, au plus tard cinq jours, et au plus tôt soixante jours avant la date de ladite assemblée.
5. Liste d'actionnaires.
La personne tenant à jour le registre des actionnaires de la société doit établir ou faire établir, au plus tard dix jours avant la date de chaque assemblée d'actionnaires, une liste complète des actionnaires habilités à voter au sein de ladite assemblée, par ordre alphabétique, mentionnant l'adresse de chaque actionnaire et le nombre d'actions inscrites à son nom. Cette liste est mise à la disposition de tout actionnaire qui peut la consulter pour tout motif afférent à l'assemblée, au minimum dix jours avant la tenue de cette dernière, pendant les heures ouvrables, soit en un lieu situé dans la localité où se tient l'assemblée et dûment mentionné dans l'avis de convocation à cette dernière, soit, en l'absence de toute mention à cet égard, au lien et à la date où doit se tenir l'assemblée. Cette liste doit également être produite et consultable par tout actionnaire présent au lieu et à la date de l'assemblée pendant toute la durée de cette dernière.
