El legislador ha partido de la presunción de que las IIC armonizadas amparadas por la Directiva 2009/65/CE del Parlamento Europeo y del Consejo, de 13 de julio de 2009, por la que se coordinan las disposiciones legales, reglamentarias y administrativas sobre determinados organismos de inversión colectiva en valores mobiliarios cumplen los requisitos de la Ley 35/2003, para tributar al 1 por 100 a partir de la entrada en vigor de la modificación del TRLIRNR por el mero hecho de estar armonizadas.
Es decir, las IIC armonizadas cuentan con una presunción iuris et de iure a efectos de la aplicación del beneficio tributario, ya que se renuncia al examen, en aras de la simplificación, como sería lícito, de las circunstancias concurrentes en sede de la IIC no residente para ver si en ella concurren los elementos esenciales para la aplicación de ese tipo de 1 por 100, elemento sobre el que pivota todo el beneficio tributario en aras de dar el mismo tratamiento a las IIC internas y a las externas.
Es evidente que ese tratamiento puede suponer una gran ventaja para IIC residentes en la UE, ya que posiblemente van estar en una situación de ventaja comparativa con las IIC españolas, puesto que las IIC de la UE van ser merecedoras de la devolución con independencia de si cumplen o no determinados requisitos muy exigentes para la aplicación de ese tipo del 1 por 100 en el IS que se exige a las IIC constituidas con arreglo a la Ley 35/2003, de IIC.
Pero cabe añadir, que no cabe pedir ese mismo ejercicio para IIC no armonizadas o para IIC residentes en terceros estados, por razones que son obvias y lógicas, ya que sería de hacer mejor condición siempre a entidades que si se hubieran constituido con arreglo a las leyes españolas jamás aplicarían el tipo del 1 por 100 en el IS.
En efecto, el análisis ha de hacerse sobre si resulta de aplicación lo antedicho a IIC de terceros países o a IIC no armonizadas.
- Aquí es, donde hay que analizar el acervo comunitario que establece como principio esencial la libre circulación de capitales (art.63 Tratado de Funcionamiento de la UE) y que ese principio esencial de la construcción de la UE sólo puede limitarse o restringirse sobre la base de una muy cuidada argumentación respetando unos principios esenciales que figuran en los artículos 64 y 65 del TFUE.
El artículo 65.1 a) del TFUE permite restringir la libre circulación de capitales, ya que los Estados miembros tienen derecho a 'aplicar las disposiciones pertinentes de su Derecho fiscal que distingan entre contribuyentes cuya situación difiera con respecto a su lugar de residencia o con respecto a los lugares donde esté invertido su capital'.
Así lo subraya la Sentencia del Tribunal de Justicia de la UE de 10 de abril de 2014, asunto C-190/12 en cuyo párrafo 57 se señala lo siguiente: '57 De este modo, las diferencias de trato permitidas por el artículo 65 TFUE, apartado 1, letra a), deben distinguirse de las discriminaciones prohibidas por el apartado 3 de este artículo. Según reiterada jurisprudencia, para que una normativa fiscal nacional como la controvertida en el caso de autos pueda considerarse compatible con las disposiciones del Tratado relativas a la libre circulación de capitales, es preciso que la diferencia de trato que prevé afecte a situaciones que no sean objetivamente comparables o esté justificada por razones imperiosas de interés general (...)'.
- En este sentido, hay que mencionar en nuestro ámbito interno, las Sentencias de la Audiencia Nacional que exigen realizar un juicio de comparabilidad entre el régimen jurídico de las Instituciones de Inversión Colectiva no residentes y las residentes (Sentencias de 31 de marzo de 2010, dictadas en los recursos 15/2007 y 17/2007, de la Sección 2ª). Y ahora es donde hay que analizar en el presente caso, a la luz de la doctrina de TJUE, si se está ante situaciones que no son comparables o si la diferencia de trato se justifica por razones de interés general. Se ha señalado anteriormente cuál es el objetivo de la norma interna que se pretende aplicar. Sobre la base de la naturaleza de la norma y del objetivo perseguido, se encuentra más que justificado el hecho de poder verificar si se está ante situaciones que son comparables con las IIC residentes que tributan al tipo del 1 por 100 en el IS, debido a que no es de aplicación la Directiva 2009/65/CE, ya que estamos ante una IIC de un tercer estado.
Por lo tanto, está más que justificado el acudir a esa comparabilidad con vistas a evaluar si resulta procedente aplicar los beneficios de la norma, más allá que lo que señala la literalidad de la misma, pues resulta perfectamente comprensible el que se haga este ejercicio sobre la base de la jurisprudencia comunitaria.
El párrafo transcrito anteriormente de la STJUE de 10 de abril de 2014, asunto C-190/12, se apoya en la comparabilidad y en razones de interés general como argumentos que posibilitarían un tratamiento diferenciado. Al respecto de este segundo elemento: razones imperiosas de interés general, el análisis se apoya en una serie de elementos, siendo el más destacable el relativo a la necesidad de garantizar los controles fiscales, y aunque el TJUE en sus consideraciones, a diferencia de lo que señala el Abogado General desestima este punto como elemento que permita un tratamiento diferenciador, pero señala como elemento relevante lo siguiente:
- '84. De las consideraciones que preceden se deduce que la justificación basada en la necesidad de preservar la eficacia de los controles fiscales sólo es admisible si la normativa de un Estado miembro hace que el disfrute de una ventaja fiscal dependa del cumplimiento de requisitos cuya observancia sólo puede comprobarse recabando información de las autoridades competentes de un tercer Estado y que, debido a la inexistencia de una obligación convencional de dicho tercer Estado de facilitar información, resulta imposible obtener de éste tales datos (véase la sentencia Haribo Lakritzen Hans Riegel y Österreichische Salinen, antes citada, apartado 67 y jurisprudencia citada.'.
Al respecto cabe decir que lo que está posibilitando el TJUE es que se pueda hacer un análisis de verificación para comprobar si se cumple el presupuesto básico que haga merecedor a la IIC no residente de esos beneficios fiscales, lo que abundaría en la necesidad ya señalada de aplicar ese elemento de comparabilidad ya analizado más arriba, en este caso sobre la base de la documentación que presenta el solicitante.
Y es indubitable que ese análisis debe realizarse, ya que el beneficio tributario solicitado, debe apoyarse en unos elementos que permitan efectuar ese ejercicio, de manera que se posibilite evaluar que se está ante situaciones homogéneas, equivalentes o comparables, ya que lo contrario o de no realizar ese ejercicio, supondría dar un mejor tratamiento a las IIC no constituidas con arreglo a la Ley 35/2003 que a las domésticas, circunstancia que evidentemente escaparía a cualquier lógica y que no sería entendida por la generalidad de los contribuyentes.
En el procedimiento de referencia, debe analizarse si el fondo de inversión no residente cumple con los requisitos que se exigen a los residentes, para ser merecedores de la tributación al tipo impositivo del 1 por 100. Requisitos relativos al objeto de las inversiones, la diversificación de riesgos, autorización y supervisión e información y transparencia. Deben de cumplirse los mínimos establecidos en la Directiva 2009/65/CE. La IIC debe acreditar que no ha podido deducirse en el Impuesto sobre sociedades de su país de residencia, el Impuesto sobre no residentes satisfecho en España.

The legislature has proceeded from the assumption that harmonized CIUs, covered by Directive 2009/65/EC, of the European Parliament and of the Council of 13 July 2009 on the coordination of laws, regulations and administrative provisions relating to undertakings for collective investment in transferable securities, comply with the requirements of Act no. 35/2003 in order to be taxed at a rate of 1% as from the date of entry into force of the amendment to the consolidated Spanish Non-Resident Income Tax Act simply because they are harmonized.
In other words, there is an irrefutable presumption on harmonized CIUs for the purposes of applying the tax benefit, since for the sake of simplification and in compliance with the law, a review of the circumstances involved at the registered address of the non-resident CIU (to see whether it complies with the essential requirements for the application of the 1% rate, on which the tax benefit is based in order to give the same tax treatment to internal and external CIUs) is omitted.
This tax treatment can evidently be a great advantage for CIUs resident in the EU since they will possibly be in a situation of comparative advantage with Spanish CIUs. This is because EU CIUs will be entitled to a refund regardless of whether or not they comply with certain very strict requirements to be taxed at the 1% corporate tax rate, to which CIUs established under the Spanish Collective Investment Undertaking Act (Act no. 35/2003) are subject.
It should be additionally noted, however, that the same tax treatment cannot be requested for non-harmonized CIUs or CIUs resident in third countries for obvious and logical reasons. Otherwise, it would always be favorable to entities that would never be taxed at the 1% corporate income tax rate if they had been established in accordance with Spanish legislation.
Accordingly, an analysis has to be made on whether the above applies to CIUs from third countries or to non-harmonized CIUs.
- This is where the body of EU law, which establishes the free movement of capital as an essential principle (Article 63 of the Treaty on the Functioning of the EU), must be analyzed. This essential principle, touching on the structural aspects of the EU, can only be limited or restricted based on very precise reasoning that adheres to certain essential principles contained in Articles 64 and 65 of the TFEU (Treaty on the Functioning of the European Union).
Article 65(1)(a) of the TFEU allows for the free movement of capital to be restricted, as Member States have the right “to apply the relevant provisions of their tax law which distinguish between taxpayers who are not in the same situation with regard to their place of residence or with regard to the place where their capital is invested”.
This is highlighted in the Court of Justice of the European Union ruling of 10 April 2014 on case C-190/12, in which paragraph 57 states: “57 The differences in treatment authorised by Article 65(1)(a) TFEU must thus be distinguished from discrimination prohibited by Article 65(3) TFEU. It is clear from the Court’s case-law that, if national tax legislation such as that at issue in the main proceedings is to be regarded as compatible with the provisions of the Treaty on the free movement of capital, the difference in treatment which it prescribes must concern situations which are not objectively comparable or be justified by an overriding reason in the public interest (...)”.
- In this regard, it is important to take note of the rulings of the Spanish National High Court (Audiencia Nacional), in which comparability assessments between the legal frameworks of resident and non-resident collective investment undertakings (rulings dated 31 March 2010, issued in appeals 15/2007 and 17/2007, Second Chamber) needed to be made. In the present case, and taking into account the case-law of the Court of Justice of the European Union, it is necessary to assess whether one is dealing with circumstances that are not comparable or whether the difference in tax treatment is justified by a reason in the public interest. The purpose of the applicable Spanish regulations has been pointed out above. On the basis of the nature of the regulations and the aim thereof, there is very good justification for the ability to verify whether one is dealing with circumstances that are comparable to resident CIUs taxed at a rate of 1% in corporate income tax, with Directive 2009/65/EC not being applicable in this case due to the fact that we are dealing with a third-country CIU.
It is, therefore, all the more justifiable to proceed with such a comparability with a view to assess whether it is appropriate to apply the benefits of the regulation, over and above its exact wording, since it is entirely justifiable that this exercise be performed on the basis of EU case law.
The previously quoted paragraph of the Court of Justice of the European Union ruling of 10 April 2014 on case C-190/12 relies on comparability and reasons of general interest as arguments that would make a differentiated treatment possible. With respect to the second argument (overriding reasons of general interest), the analysis is based on a series of factors, the most noteworthy being the need to guarantee tax controls. However, the ECJ rejects this point in its findings as a factor that allows for differentiating treatment, in contrast to what the Advocate General points out, but it highlights the following as a relevant factor:
- “84. It follows from the foregoing that the justification based on the need to maintain the effectiveness of fiscal supervision can only be accepted where the legislation of a Member State makes entitlement to a tax advantage dependent on the satisfaction of conditions compliance with which can be verified only by obtaining information from the competent authorities of a non-Member State and where, because that non-Member State is not bound under an agreement to provide information, it proves impossible to obtain that information from it (see Haribo Lakritzen Hans Riegel and Österreichische Salinen, paragraph 67 and case-law cited).”
In this respect, it should be noted that what the ECJ is making possible is that a verification analysis may be carried out to verify whether the basic criteria that make the non-resident CIU eligible for these tax benefits are met. This would reinforce the case to apply this comparability factor already analyzed above. In this case, it would be done based on the documentation submitted by the applicant.
This analysis must necessarily be carried out since the tax benefit requested must be based on factors that make it possible to carry out the assessment of similar, equivalent or comparable situations, since the contrary or failure to do so would result in favourably treating CIUs not established under Act no. 35/2003 in comparison to Spanish CIUs – a circumstance that would undoubtedly be illogical and would not be generally accepted by taxpayers.
In the abovementioned procedure, it should be analyzed whether the non-resident investment fund complies with the requirements applicable to residents to qualify for taxation at the 1% tax rate. These requirements relate to the purpose of the investments, risk diversification, authorization, supervision, information, and transparency. The minimum requirements laid down in Directive 2009/65/EC must be complied with. The CIU must prove that it was not able to deduct the non-resident tax paid in Spain from the corporate income tax of its country of residence.

Par contre, la situation se présente d’une autre façon en ce qui concerne les OPC qui ont pris la forme de sociétés de capitaux.
Au regard du droit interne, ces OPC sont à considérer comme des résidents du Luxembourg lorsque les conditions de l’article 159 L.I.R. sont remplies.
Conformément aux dispositions de l’article 159 L.I.R., les organismes à caractère collectif sont à considérer comme résidents s’ils ont au Luxembourg leur siège statutaire ou leur administration centrale. L’article 159 L.I.R. instaure deux critères alternatifs pour déterminer si un contribuable a le statut de résident, de sorte que, si l’un des deux critères se trouve vérifié dans le chef d’un contribuable, il est à qualifier de contribuable résident alors même qu’il ne satisfait pas à l’autre critère.
En vertu de l’article 161, numéro 10 L.I.R. sont exempts de l’impôt sur le revenu des collectivités les organismes à caractère collectif exemptés par les dispositions d’une loi spéciale.
Ces lois spéciales sont la loi du 17 décembre 2010 concernant les organismes de placement collectif ainsi que la loi du 13 février 2007 relative aux fonds d’investissement spécialisés. La loi du 17 décembre 2010 prévoit à l’article 173 que:
« Sans préjudice de la perception des droits d’enregistrement et de transcription et de l’application de la législation nationale portant sur la taxe sur la valeur ajoutée, il n’est dû d’autre impôt par les OPC situés ou établis au Luxembourg au sens de la présente loi, en dehors de la taxe d’abonnement mentionnée ci-après aux articles 174 à 176. ».
L’article 179 de cette même loi dispose en outre: « Sont exempts de l’impôt sur le revenu des collectivités, de l’impôt commercial communal et de l’impôt sur la fortune les OPC établis en dehors du territoire du Luxembourg lorsqu’ils ont leur centre de gestion effective ou leur administration centrale sur le territoire du Luxembourg. ».
L’article 4 de la Convention modèle définit l’expression « résident d’un État contractant » comme toute personne qui, en vertu de la législation de cet État, est assujettie à l'impôt dans cet État en raison de son domicile, de sa résidence, de son siège de direction ou de tout autre critère de nature analogue.
Les commentaires relatifs à l’article 4 du modèle de Convention fiscale disposent que:
Le paragraphe 1 vise les personnes qui sont « assujetties à l'impôt » dans un État contractant en vertu de sa législation interne, en application de divers critères. Dans de nombreux États, une personne est considérée comme étant assujettie à l'obligation fiscale illimitée même si l'État contractant ne lui applique pas en fait d'impôt.
Par exemple, les organismes de retraite, les organismes caritatifs et d'autres organismes peuvent être exonérés d'impôt, à condition qu'ils remplissent toutes les conditions prévues dans la législation fiscale pour cette exonération. Ils sont donc soumis à la législation fiscale d'un État contractant. De plus, s'ils ne remplissent pas les conditions fixées, ils sont tenus d'acquitter l'impôt. La plupart des États considèrent ces organismes comme des résidents aux fins de la Convention.
Du point de vue luxembourgeois, un organisme de placement collectif est également à considérer comme assujetti à l'impôt s’il est soumis à la législation fiscale de cet État mais exempté d’impôt lorsqu’il remplit conformément à la législation fiscale toutes les conditions prévues pour cette exemption.
Or, cette approche n’est pas toujours partagée par les partenaires conventionnels du Luxembourg. Ainsi, les SICAV/SICAF ne sont pas toujours en droit d'invoquer le bénéfice des dispositions conventionnelles.
Le même raisonnement doit être appliqué mutatis mutandis aux fonds d’investissement spécialisés (FIS) constitués sous la loi du 13 février 2007. Cette loi spéciale dispose dans son article 66 paragraphe 1 que « En dehors du droit d’apport frappant les rassemblements de capitaux dans les sociétés civiles et commerciales et de la taxe d’abonnement mentionnée à l’article 68 ci-après, il n’est dû d’autre impôt par les fonds d’investissement spécialisés visés par la présente loi ».

However, the situation is different for UCIs that have taken the form of capital companies.
Under Luxembourg law, such UCIs are to be considered as residents of Luxembourg when the requirements of Article 159 of the Luxembourg Income Tax Act are met.
Under the provisions of Article 159 of the Luxembourg Income Tax Act, collective undertakings are to be deemed residents if they have their registered office or central administration in Luxembourg. Article 159 of the Luxembourg Income Tax Act establishes two alternative criteria for determining whether a taxpayer has resident status, so that, if one of the two criteria is met in respect of a taxpayer, it shall qualify as a resident taxpayer even though it does not meet the other criterion.
According to Article 161(10) of the Luxembourg Income Tax Act, collective undertakings that are exempted by the provisions of special legislative acts are exempt from corporate income tax.
Such special legislative acts include the Luxembourg Collective Investment Undertakings Act of 17 December 2010 and the Luxembourg Specialised Investment Fund Act of 13 February 2007. The Act of 17 December 2010 states in Article 173 that “notwithstanding the levying of registration and transcription fees, and the application of domestic value-added tax legislation, no other tax shall be payable by UCIs located or established in Luxembourg within the meaning of this Act, other than the subscription tax mentioned hereunder in Articles 174 to 176.”
Article 179 of the same Act also states that “UCIs established outside the territory of Luxembourg shall be exempt from corporate income tax, municipal business tax and tax on business capital if they have their effective centre of management or their central administration in Luxembourg.”
Article 4 of the Model Tax Convention defines the term “resident of a Contracting State” as any person who, under the laws of that State, is liable to tax in that State by reason of the person’s domicile, residence, place of management or any other criterion of a similar nature.
The Commentaries on Article 4 of the Model Tax Convention state as follows:
“Paragraph 1 refers to persons who are 'liable to tax’ in a Contracting State under its laws by reason of various criteria. In many States, a person is considered liable to comprehensive taxation even if the Contracting State does not in fact impose tax.
For example, pension funds, charities and other organisations may be exempted from tax, but they are exempt only if they meet all of the requirements for exemption specified in the tax laws. They are, thus, subject to the tax laws of a Contracting State. Furthermore, if they do not meet the standards specified, they are also required to pay tax. Most States would view such entities as residents for purposes of the Convention.”
For Luxembourg, and according to its tax legislation, an undertaking for collective investment is also to be considered as a taxable person if it is subject to Luxembourg tax legislation but exempt from tax when it meets all the conditions laid down for this exemption.
However, this approach is not always shared by Luxembourg’s treaty partners. Thus, SICAVs/SICAFs are not always entitled to claim treaty benefits.
The same reasoning must be applied mutatis mutandis to specialized investment funds (SIFs) established under the Act of 13 February 2007. This special legislative act stipulates that “Apart from the capital duty levied on capital contributions to corporations and non-trading companies and the taxe d’abonnement (subscription tax) mentioned in the subsequent Article 68, no other tax shall be payable by the specialized investment funds covered by this Act”.

Texte source - espagnol El fondo invertirá, directa o indirectamente, a través de IIC, entre el 0 y el 50% en renta variable. El resto de la exposición total se invertirá en activos de renta fija pública y/o privada (incluyendo depósitos e instrumentos del mercado monetario, cotizados o no, que sean líquidos). Se podrá tener hasta un 15% exposición a materias primas a través de la inversión en los activos aptos que permita la normativa en cada momento y de acuerdo a la Directiva 2009/65/CE.
No existe objetivo predeterminado ni límites máximos en lo que se refiere a la distribución de activos por tipo de emisor (público o privado), ni duración, ni por capitalización bursátil, ni por sector económico, ni por rating de emisión/emisor, pudiendo estar el 100% en emisiones de baja calidad crediticia.
La exposición a riesgo divisa no superará el 50% de la exposición total.
El fondo podrá invertir hasta un 10% de su patrimonio en IIC financieras (activo apto) pertenecientes o no al grupo de la gestora, armonizadas o no.
Se podrá invertir más del 35% del patrimonio en valores emitidos o avalados por un Estado de la UE, una Comunidad Autónoma, una Entidad Local, los Organismos Internacionales de los que España sea miembro y Estados con solvencia no inferior a la de España.
La IIC diversifica las inversiones en los activos mencionados anteriormente en, al menos, seis emisiones diferentes. La inversión en valores de una misma emisión no supera el 30% del activo de la IIC.
Se podrá operar con derivados negociados en mercados organizados de derivados con la finalidad de cobertura y de inversión y no negociados en mercados organizados de derivados con la finalidad de cobertura y de inversión. Esta operativa comporta riesgos por la posibilidad de que la cobertura no sea perfecta, por el apalancamiento que conllevan y por la inexistencia de una cámara de compensación. El grado máximo de exposición al riesgo de mercado a través de instrumentos financieros derivados es el importe del patrimonio neto.
El fondo realiza una gestión activa, lo que puede incrementar sus gastos.
Se podrá invertir hasta un máximo conjunto del 10% del patrimonio en activos que podrían introducir un mayor riesgo que el resto de las inversiones como consecuencia de sus características, entre otras, de liquidez, tipo de emisor o grado de protección al inversor.
En concreto se podrá invertir en:
- Las acciones y activos de renta fija admitidos a negociación en cualquier mercado o sistema de negociación que no tenga características similares a los mercados oficiales españoles o no esté sometido a regulación o que disponga de otros mecanismos que garanticen su liquidez al menos con la misma frecuencia con la que la IIC inversora atienda los reembolsos. Se seleccionarán activos y mercados buscando oportunidades de inversión o de diversificación, sin que se pueda predeterminar a priori tipos de activos ni localización.
- Las acciones y participaciones de las entidades de capital-riesgo reguladas, siempre que sean transmisibles, gestionadas o no por entidades del mismo grupo de la Sociedad Gestora.

The CIU diversifies the investments in the assets mentioned above into at least six different issues. Investments in securities of the same issue shall not exceed 30% of the assets of the CIU.
Derivatives on exchange-traded derivatives markets may be traded for hedging and investment purposes and over-the-counter derivatives may be traded for hedging and investment purposes. This approach involves risks due to the possibility that the hedge may not be perfect, due to the leverage the risks entail and due to the lack of a clearinghouse. The maximum degree of exposure to market risk through derivative financial instruments shall equal the amount of equity.
The fund is actively managed, which may increase its expenses.
Up to an overall maximum of 10% of equity may be invested in assets that could introduce greater risk than the rest of the investments as a result of their characteristics, such as their liquidity, the type of issuer or the degree of investor protection.
Specifically, it will be possible to invest in:
- Shares and fixed-income assets traded on any market or trading system that does not share the same characteristics as the official Spanish markets, which is not subject to regulation or that has other mechanisms to guarantee its liquidity, at least as frequently as the investor CIU handles redemptions. Assets and markets will be selected as a result of seeking investment or diversification opportunities, without it being possible to predetermine in advance the types of assets or locations involved.
- Stocks and shares in regulated venture capital entities provided that they are transferable, whether managed or not by entities belonging to the same group as the Management Company.

Na podstawie art. 155 § 1, art. 187 § 1 oraz art. 189 ustawy z dnia 29 sierpnia 1997 r. -Ordynacja podatkowa (t.j. Dz. U. z 2019 r., poz. 900 ze zm.), w związku z prowadzonym wobec [...] z siedzibą [...], postępowaniem podatkowym w sprawie zwrotu nadpłaty zryczałtowanego podatku dochodowego od osób prawnych w łącznej kwocie [...] zł, pobranego od dywidend wypłaconych w 2017 r. przez [...] — Naczelnik Pierwszego Mazowieckiego Urzędu Skarbowego w Warszawie wzywa Stronę — [...] z siedzibą [...], reprezentowaną przez Pełnomocnika [...], w terminie 7 dni liczonych od dnia doręczenia niniejszego wezwania do złożenia:
1) oryginałów lub odpisów poświadczonych za zgodność z oryginałem przez notariusza, kopii oświadczenia rejestracyjnego N-1A wraz z załączonym do niego prospektem, złożonego przez Wnioskodawcę do SEC w 2017 r. wraz z tłumaczeniem przysięgłym na język polski samego formularza N-1A.
Zgodnie z art. 194a § 2 ustawy Ordynacja podatkowa, zamiast oryginału dokumentu strona może złożyć odpis dokumentu, jeżeli jego zgodność z oryginałem została poświadczona przez notariusza albo przez występującego w sprawie pełnomocnika strony będącego adwokatem, radcą prawnym lub doradcą podatkowym. Z kolei w myśl art. 194a § 2a zdanie pierwsze tej ustawy, jeżeli odpis dokumentu został sporządzony w formie dokumentu elektronicznego, poświadczenia jego zgodności z oryginałem, o którym mowa w § 2, dokonuje się przy użyciu kwalifikowanego podpisu elektronicznego, podpisu zaufanego albo podpisu osobistego. W świetle powyższego niewystarczające jest wskazanie przez Pełnomocnika Strony we wniosku adresu do strony internetowej, na której dostępne jest oświadczenie rejestracyjne N-1A Spółki. Poza tym, aby dokument mógł stanowić legalny dowód w sprawie, w rozumieniu art. 180 Ordynacji podatkowej, dopuszczalny jest jedynie konglomerat obcojęzycznego dokumentu i jego urzędowego tłumaczenia.
W treści pisma z dnia [...] r. wskazano, że formularz N-1A wraz z jego tłumaczeniem przysięgłym zostały złożone do akt postępowania dot. 2016 r. i poproszono o ich uwzględnienie. Ponadto, w oświadczeniu stanowiącym załącznik do ww. pisma z dnia [...] r. Pan [...] oświadczył pod rygorem odpowiedzialności karnej, że formularz N-1A z 2016 r. obowiązywał w 2017 r.
Naczelnik tut. Urzędu zauważa, że znajdujący się w aktach wskazanego postępowania, w formie elektronicznej, formularz N-1A dotyczy 2016 r., zaś przedmiotem niniejszego postępowania jest 2017 r. Zgodnie z posiadanymi informacjami formularz N-1A jest corocznym zgłoszeniem rejestracyjnym składanym przez amerykańskie spółki inwestycyjne do SEC, na co wskazuje zarówno treść formularza N-1A, jak i załączony do pisma z dnia [...] r. prospekt wydany w dniu [...] r., który to stanowi załącznik do ww. zgłoszenia rejestracyjnego N-1A. Tym samym nie można uznać oświadczenia Pana [...] za zgodne z prawda.
W konsekwencji należy przesłać w formie elektronicznej formularz N-1A wydany na 2017 r. wraz z prospektem, które to zostały złożone do SEC oraz przedłożyć wydrukowany formularz N-1A w języku obcym wraz z jego tłumaczeniem przysięgłym na język polski.

Pursuant to Article 155(1), Article 187(1) and Article 189 of the Polish Tax Act of 29 August 1997 (Polish Journal of Laws of 2019, item 900, as amended), and regarding the application of [...] (with registered office in [...]) for a refund of overpaid flat-rate corporate income tax in the amount of [...] PLN levied on dividends paid out in 2017 by [...], the Head of the First Mazowiecki Province Tax Office in Warsaw hereby requests that the Applicant, [...] (with registered office in [...]), represented by [...], submit the following documents within 7 days from the date of delivery of this letter:
1) An original or notarized copy of the N-1A registration statement and the prospectus attached thereto submitted by the Applicant to the SEC in 2017, together with a certified translation of the Form N1-A into Polish.
Pursuant to Article 194(a)(2) of the Polish Tax Act, the applicant may submit a copy of a document (instead of an original) if it has been certified as being true to the original by a notary public or by a lawyer, legal advisor or tax advisor representing the case. If the copy of the document is in the form of an electronic document, the certification of its being true to the original, as referred to in (2), shall be made using a qualified electronic signature, a trusted signature or a personal signature (first sentence of Article 194(a)(2)(a)). Therefore, it is not enough for the applicant’s representative to merely indicate the address of the website on which the company’s N-1A registration statement is available. In addition, for the document to be considered legal evidence in the case within the meaning of Article 180 of the Polish Tax Act, a foreign-language document shall only be admissible together with its sworn translation into Polish.
The letter dated [...] indicated that the Form N-1A (together with its certified translation) was submitted for the 2016 refund application, and the tax office was asked to apply it to the current case. Moreover, in the statement attached as an annexure to the abovementioned letter dated [...], Mr. [...] declared under penalty of perjury that the 2016 N-1A form was in force in 2017.
The Head of this Tax Office notes that the Form N-1A, contained in the case file of the abovementioned refund application in an electronic form, concerns the year 2016, while the claiming period of this refund application is the year 2017. According to the information available to us, the Form N-1A (together with the prospectus) is an annual registration application filed by American investment companies with the SEC, as indicated by both the content of the N-1A form and by the prospectus issued on [...] attached to the letter dated [...]. Due to these reasons, Mr. [...]’s statement cannot be considered truthful.
Therefore, we hereby request the Form N-1A for the year 2017, as submitted to the SEC, together with the prospectus on an electronic device, as well as a printed version of the Form N-1A with a sworn translation thereof into Polish.
