Texte source - français Dans ce contexte, un business case a été préparé par X en collaboration avec X. Sur la base des hypothèses retenues, le développement d’un partenariat permettrait à X dans un horizon de cinq ans :
- de doubler la taille de la base clientèle et le volume d’actifs sous gestion via l’introduction d’un nouveau modèle de service
- de tripler les revenus générés tout en changeant la structure du PNB au profit de commissions.
Dans le cas où le partenariat se mettrait en place, un fort accent serait mis sur les sujets KYC, Lutte Anti Blanchiment et formation.
Des programmes de formation initiaux et continus seront définis pour assurer une mise à niveau de tous les acteurs locaux.
Comme déjà précédemment expérimenté dans d’autres partenariats, la sélection et la formation des équipes est un facteur clé de succès :
- une évaluation préalable de l’ensemble du personnel VIP a d’ores et déjà été réalisée en septembre 2015 pour identifier précisément le degré de motivation des équipes et les lacunes à combler
- un programme initial de formation sera déployé sur cette base avant le lancement effectif du dispositif afin de mettre à niveau les équipes locales sur des aspects techniques (produits et processus clés) et commerciaux
- un processus de certification interne, incluant formations et tests de compétence, va être développé. Tous les CRM devront être certifiés sur cette base dans un délai de deux ans après le lancement du partenariat pour s’assurer de leur bonne maîtrise des produits et services commercialisés ; des sessions seront ensuite régulièrement organisées pour maintenir à jour les connaissances des commerciaux sur les différents sujets.
Sur le plan opérationnel, les clients VIP existants seront immédiatement couverts par le dispositif local de banque privée dès son lancement. En ce qui concerne les KYC, l’objectif partagé entre X,
X et X est de mettre en place les méthodes PRIV sur l’ensemble du portefeuille sous deux ans selon les principes suivants :
- tout nouveau client souhaitant entrer en relation avec la banque privée russe devra faire l’objet d’un KYC fondé sur les méthodes PRIV, et ce dès le lancement du dispositif de banque privée local
- tout client existant souhaitant accéder à la nouvelle offre de produits et services développée par X dans ce cadre devra faire l’objet d’un KYC revu et validé
- tout client existant souhaitant apporter des actifs supplémentaires dans les livres de X devra avoir son KYC mis à jour et validé
- les autres clients existants feront progressivement l’objet de la revue de leur KYC dans un délai de deux ans après le lancement de la banque privée.

Будут подготовлены программы обучения новых и уже работающих сотрудников для повышения квалификации местного персонала всех уровней.
Как было проверено ранее в других партнерских отношениях, отбор и обучение сотрудников является ключевым фактором успеха:
- в сентябре 2015 уже была произведена предварительная оценка всего персонала, работающего с VIP клиентами, чтобы точно определить уровень мотивации и пробелы, которые необходимо восполнить.
- на основании результатов оценки, до внедрения рабочего сервиса будет предложена предварительная программа обучения, нацеленная на повышение квалификации местного персонала в технических (ключевые продукты и процессы) и коммерческих областях
- будет введена процедура внутренней сертификации, включающая обучение и тесты на компетентность. Все CRM-системы должны будут пройти проверку в течение двух лет после начала сотрудничества с целью обновления информации о реализуемых продуктах и услугах. Затем будут регулярно проводиться сессии, чтобы поддерживать на должном уровне знания сотрудников коммерческих отделов по различным вопросам.
Операционный план предусматривает охват уже существующих VIP клиентов с момента введения в работу местной системы персонального банковского обслуживания. Что касается политики "знай своего клиента", совместные действия X, X и X нацелены на переход в течение двух лет к использованию методов персонального банковского обслуживания применительно ко всему портфелю клиентов в соответствии со следующими принципами:
- после внедрения системы персонального банковского обслуживания на внутреннем рынке любой новый клиент, желающий воспользоваться услугами российского персонального банка должен пройти процедуру идентификации "знай своего клиента"
- любой существующий клиент, желающий воспользоваться новым продуктом или услугой, разработанными банком X, должен пройти повторную проверку и утверждение согласно процедуре "знай своего клиента"
- любой клиент, желающий внести дополнительные активы на счета банка X, должен обновить информацию и пройти утверждение согласно процедуре "знай своего клиента", основанной на принципах персонального банковского обслуживания
- сведения обо всех уже существующих клиентах пересматриваются в течение двух лет после внедрения системы персонального банковского обслуживания.

In order to determine the Turnover received by the Tenant from the trade in the Premise or in connection therewith the Tenant undertakes to provide the Landlord on a monthly basis with the report according to the forma further agreed upon by the Parties. The Landlord shall be entitled to verify such financial and cash documentation of the Tenant (Z-reports of the cashiers, cashbooks and other Accounts Records) related to the Tenant’s activities on the Premise in order to permit the determination of the Turnover realized from or in connection with the Premise, as provided in the House Rules.
The Tenant shall maintain on its place of business in the Premise full and accurate Accounts Records throughout the Term and shall retain such Accounts Records for at least 4 (four) years following the expiration of the Fiscal year to which such Accounts Records relate. The Tenant shall if so required by the Landlord permit the Landlord or its duly authorised agent at any time to inspect and take copies of the Accounts Records. In case of a centralized book-keeping, the Tenant shall if so required by the Landlord permit the Landlord or its duly authorised agent at any time to inspect and take copies of the Accounts Records directly related to the Premise.
Tenant’s failure to comply with the above undertaking shall be considered as an Event of Default and the provisions of article 10.1 (g) below shall be applicable.
The Landlord may at its discretion cause an audit to be made of the Tenant’s Accounts Records by an independent auditor appointed by the Landlord at its discretion and the cost of such audit shall be borne by the Tenant if the Turnover for any relevant period has been understated by more than the lesser of three percent (3%) or the auditor reports that in his opinion the Accounts Records are insufficient to permit an accurate determination of the Turnover for any relevant period, or at the time of commencement of such audit the Tenant is in default in delivery to the Landlord of any statement in respect of Turnover required pursuant to this Lease and such default has continued for 10 (ten) days. The Turnover as determined by the independent auditor shall be used for the purpose of calculating the Additional Rent.

Для целей определения Товарооборота, полученного Арендатором в результате ведения деятельности в Помещении или в связи с ним, Арендатор обязуется предоставлять Арендодателю ежемесячный отчёт по дополнительно согласованной Арендодателем форме. При этом Арендодатель вправе производить проверку указанных финансовых и кассовых документов Арендатора (Z-отчёты кассиров-операционистов, книги кассиров-операционистов и иные документы Бухгалтерской отчётности), относящихся к деятельности Арендатора в Помещении.
Арендатор обязан вести по месту осуществления деятельности в Помещении Бухгалтерскую отчётность в течение всего Срока аренды и хранить такую Бухгалтерскую отчётность не менее 4 (четырёх) лет после завершения Финансового года, к которому она относится. Арендатор обязуется по требованию Арендодателя разрешить последнему или его надлежаще уполномоченному представителю в любое время провести проверку и сделать копии с Бухгалтерской отчётности. Арендодатель имеет право по своему усмотрению провести аудит Бухгалтерской отчётности Арендатора независимым аудитором, назначаемым по усмотрению Арендодателя. В случаях, когда Товарооборот за соответствующий период окажется заниженным более чем на три процента (3%), или когда, по мнению аудитора, представленной Бухгалтерской отчётности недостаточно для точного определения Товарооборота за любой взятый период, или если Арендатор не представил Арендодателю в течение десяти (10) дней какую-либо документацию в отношении Товарооборота, которая необходима по Договору аренды, расходы на проведение такого аудита несёт Арендатор. Для расчёта Дополнительной арендной платы будет использован Товарооборот, установленный независимым аудитором.
