La empresa ------------- otorga el presente poder amplio y suficiente cuanto en derecho se requiere, al Sr. ------------ y Sr. -------- en forma conjunta, para que en nombre y representación de los intereses de dicha compañía puedan ejercer las siguientes facultades:
1. Actuar como representante legal de dicha empresa ante cualesquier Ministerios, Departamentos u Oficinas, bien sean de carácter nacional, regional o municipal, para formalizar documentos de toda índole, así como para representar a dicha empresa ante cualesquier Juzgados o Tribunales, en todo tipo de actuación legal que la empresa realizando, sean estas de carácter civil, penal, laboral, administrativo, litigioso-administrativo o de jurisdicción voluntaria, con plenos poderes para ejercer cualesquier acciones o exenciones, presentar demandas, ratificar, objetar, presentar y admitir evidencias, someter apelaciones de cualquier tipo, bien sean de carácter ordinario o especial, incluso aquellas que deriven de anulaciones y revisiones, llevar a cabo acuerdos en forma judicial o extrajudicial, aceptar demandas en contra de la empresa y someter a arbitraje la materia de litigio, y participar con derecho a voz y voto en todas las reuniones de suspensión de pagos y declaraciones de quiebra, con poderes amplios e ilimitados.
2. Nombrar profesionales del Derecho, Abogados y Procuradores de Tribunal, otorgándoles plenos poderes, y eventualmente revocando dichos poderes, para llevar a cabo litigios generales o especiales.
3. Participar con derecho a voz y voto en las Asambleas Ordinarias o Extraordinarias de Accionistas convocadas por las empresas Guadalquiton Inversiones S.A. y Madpir España S.L, siendo un accionista el que otorga el poder; designar individuos para que realicen cualesquier funciones, o aceptar las que designe el otorgante del poder; oponerse a acuerdos en cualesquier acciones judiciales o extrajudiciales; rechazar, o eventualmente aprobar, los acuerdos que la empresa haya pactado, de cualquier naturaleza, y en particular, de aquellos que se relacionen con la aceptación de nuevos socios, aumentar o disminuir el capital y nombrar o revocar la designación de Directores, Miembros de la Junta Directiva y Delegados de los Miembros de la Junta Directiva, todos estos sin limitación alguna.
4. Presentar, recibir y oponerse a cualesquier demandas de tipo notarial o judicial.
5. Llevar a cabo toda acción, y adjudicar todo tipo de contratos u operaciones jurídicas, de acuerdo con los convenios, cláusulas y condiciones que ellos mismos así decidan.
6. Establecer, sustituir, derogar, ceder, dividir, reducir, aceptar, modificar, posponer y cancelar cualesquier hipotecas de bienes inmuebles y de propiedad privada, documentos hipotecarios, con o sin desplazamiento, bonos, avales, con carácter de resolución u otro tipo de condición, y en general, ejecutar todo tipo de garantías, bien sean de carácter real o personal, con toda persona o entidad jurídica, de derecho público o privado.
7. Administrar, en los términos más amplios, cualesquier propiedad real y personal y operaciones de todo tipo; celebrar todo contrato de arrendamiento, bien sea como arrendatarios o como arrendadores, que tengan por conveniente.
8. Juntar, separar, partir, dividir en parcelas, y desarrollar terrenos de tipo rural o urbano, llevar a cabo declaraciones de obra nueva y de propiedad horizontal (condominios), establecer el marco jurídico de la construcción, sometiéndola, entre otros aspectos, al de la Propiedad Horizontal, redactar y aprobar los Estatutos de la Comunidad de Propietarios y los reglamentos de la administración interna, y solicitar todo tipo de permisos para llevar a cabo cualesquier obras.
9. Abrir, mantener y cerrar cuentas corrientes y cuentas de crédito, o de cualquier otro tipo, incluso cuentas en moneda extranjera, convertible u otras cuentas especiales, y retirar sumas de dinero de las mismas, incluso del Banco de España, mediante el uso de cheques, talones de retiro, transferencias, órdenes de crédito o cualesquier otros instrumentos; aprobar u objetar balances de cuentas corrientes y liquidaciones; emitir, endosar, garantizar, aceptar, negociar, intervenir, descontar y protestar letras de cambio y giros, y en general, llevar a cabo todo tipo de transacción bancaria.
10. Otorgar y realizar operaciones comerciales, sin limitación alguna. Solicitar, contraer, recibir y pagar, o conceder préstamos en efectivo, en los montos, términos, intereses y modalidades que tengan por convenientes, estipulando todas aquellas circunstancias que resulten necesarias para las mismas.
11. Fundar y constituir todo tipo de sociedades anónimas o de responsabilidad limitada, o de cualquier otra naturaleza, con el nombre, el objeto, la sede, la duración, el capital, los estatutos y cualesquier otros requisitos que tengan a bien decidir; suscribir y emitir acciones o participaciones de compañías; designar, aceptar y ejercer todo tipo de posición; trasformar y fusionarlas con otras; participar en todo tipo de reuniones con derecho a voz y voto; retirar cualesquier montos y capital que hayan sido contribuido; recibir dividendos y ganancias; firmar las actas y emitir certificaciones.
12. To join, segregate, divide, divide into plots and develop country or urban lands, to practice declarations of new work and of horizontal property (condominium), to establish the juridical framework of the construction subjecting it, among others, to that of Horizontal Property, to draw up and approve the Statutes of the Community of Owners and the rules of internal administration and to request licenses for works or of any other kind.
9. To open, maintain and cancel current and credit accounts or those of other kinds, including in foreign currency, convertible or of other special kinds, and to withdraw sums from them, all this, including with Bank of Spain, by means of checks, withdrawal coupons, transfers, credit orders or in any other form; to give approval or to object current account statements and liquidations; to issue, endorse, guarantee, accept, negotiate, intervene, discount and protest bills of exchange and the other drafts, and in general, to carry out all kinds of banking operations.
10. To grant and perform commercial operations, without any limitations. To request, contract, receive and pay or give loans in cash, in the amounts, terms, interests and other modalities that may be convenient, stipulating, in short, all circumstances that may be necessary.
11. To found and constitute all kinds of corporate or limited commercial companies, or those of any other nature, with the name, object, address, duration, capital, bylaws and other requirements that may be freely decided; to subscribe and expand shares or company participations; to appoint, accept and hold positions; to transform and merge them with others; to attend with voice and vote meetings held; to withdraw amounts and capital contributed; to receive dividends and earnings; to sign minutes and issue certifications.
12. To grant and subscribe private documents and public deeds, including those for correction, explanation or ratification and any other official or administrative document that may be necessary or convenient for the exercise of their powers.
