Il a préalablement été rappelé que:
1. Le Bénéficiaire détient 1.248 actions composant le capital d’une société dénommée « Anthon B Nilsen » (ci-après « AB Nilsen » ou la « Société »), Société par actions simplifiée, dont le siège social est à Paris (75008), 29, rue d'Astorg, immatriculée au Registre du Commerce et des Sociétés de Paris sous le n° B 303.914.667. Le capital d'AB Nilsen de 624.000 euros est divisé en 3.120 actions selon la répartition suivante:
- Anthon B Nilsen A/S 1.248 actions,
- Paprec France 1.248 actions,
- New co 624 actions,

Total 3.120 actions
AB Nilsen a pour objet et pour principale activité, en France et à l'étranger, toutes les opérations commerciales, sous toutes formes, notamment la représentation et la distribution de pâtes de bois, de papiers sous toutes leurs formes et de tous produits dérivés du bois ou se rapportant à l'industrie du bois. Sa durée expire le 23 octobre 2050. Elle clôt son exercice social le 31 décembre de chaque année.
2. Le Promettant, quant à lui, a acquis 1.248 actions de la Société d’une part en rachetant au Bénéficiaire 688 actions d’autre part en souscrivant à une augmentation de capital 560 actions supplémentaires, le tout pour un investissement arrondi à la somme de 1.120.000€ (un million cent vingt mille euros) ci après l’Investissement.
3. Le Bénéficiaire est intéressé à céder à terme les actions qu’il détient dans le capital de la Société.
4. De son côté, le Promettant souhaite acquérir, à terme, les actions que le Bénéficiaire détient dans le capital de la Société.

Cela exposé il a été convenu ce qui suit :
Article 1er : Objet de la Promesse.
Par les présentes, le Promettant de première part, promet de manière ferme et irrévocable d’acquérir du Bénéficiaire, soussigné de deuxième part, les 1.248 actions qu’il détient dans le capital de la Société, ainsi que tous droits attachés aux dites actions, tels que les droits de souscription, toutes actions qui pourraient être souscrites en numéraire grâce à l’exercice desdits droits de souscription, toutes actions qui pourraient être attribuées gratuitement du fait de la possession des actions et tous titres qui pourraient leur être substitués par suite d’une réduction de capital ou autrement, ci après « les Actions » ou « les Titres ».
Le Bénéficiaire accepte cette promesse d’achat d’actions mais se réserve la faculté d'en demander ou non la réalisation selon ce qui lui conviendra.
Dans l'hypothèse où le Bénéficiaire lèverait la présente promesse d’achat qui lui est consentie, la cession serait réalisée aux conditions et dans les délais fixés ci-après.
Article 2 : Durée de la Promesse, levée de l'option, réalisation de la vente.
Le Bénéficiaire, pourra lever la présente option en une seule fois et pour la totalité des Actions, objet des présentes, entre:
- le 1er juillet 2013 et le 31 décembre 2013
- ou le 1er juillet 2014 et le 31 décembre 2014
(ci-après la Période d’exercice)
par l’envoi d’une lettre recommandée avec demande d'avis de réception adressée au Promettant ou par tout autre moyen convenu entre les parties (ci après la Date de Notification).
A défaut de lever, au plus tard le 31 décembre 2014, l’option qui lui est consentie, la présente Promesse sera réputée nulle et de nul effet.
La levée d'option emportera, ipso facto et sans autres formalités la réalisation de la vente entre les parties. Cette vente sera constatée par la signature d'un ordre de mouvement par le Bénéficiaire et constatant le transfert au profit du Promettant des 1.248 actions de la Société, objet des présentes, dans le mois suivant la Date de Notification.

Article 3 : Prix des Actions.
3.2. La vente, si elle se réalise sera faite moyennant un prix P qui sera défini en fonction des résultats de la Société, dans les conditions suivantes :

n = nombre d’actions cédées par le Bénéficiaire
N = nombre total d’actions composant le capital social de la Société à la date de Notification.
KP = capitaux propres tels qu’ils ressortent des comptes du dernier exercice clos et approuvés par l’assemblée générale de la Société à la Date de Notification.
étant précisé que dès lors que surviendrait depuis la clôture des comptes de l'exercice de référence et/ou leur approbation par l'assemblée générale de la Société, un ou plusieurs événements ayant pour effet d'affecter significativement et défavorablement les affaires de la Société, et partant les capitaux propres de celle-ci, les capitaux propres retenus pour la détermination du Prix, seraient ceux arrêtés au 30 juin de l'exercice au cours duquel la notification de la levée d'option, telle que précisée par l'article 2 ci-dessus, sera intervenue, ces capitaux propres étant, par ailleurs, arrêtés, en tenant compte du principe de prudence résultant des règles comptables généralement admises en France, et plus particulièrement résultant du Plan Comptable Général (article 120-3).
3.2. Dans l'hypothèse où le taux de rendement interne de l'investissement réalisé par Paprec France (calculé en fonction de l'augmentation des capitaux propres de la société AB Nilsen (par rapport de ceux du 30 juin 2010) – compte tenu de sa détention dans le capital de la Société – et des dividendes servis) excéderait 10%, le prix P s'établirait comme suit:
P= n/N x (KP + 1.000.000€)
Où TRI = est le taux de rendement ou de rentabilité interne, calculé comme le taux d’intérêt annuel qui rend nulle la somme algébrique des valeurs actuelles des flux sortants et des flux entrants en tenant compte de la date à laquelle lesdits flux se produisent.

Article 4 : Paiement du prix.
Le Prix sera payable en totalité et au comptant le jour de la signature des ordres de mouvement constatant le transfert de propriété des Actions et contre remise des ordres de mouvement.
Article 5 Entrée en jouissance.
Le Promettant aura la jouissance des actions objet de la présente Promesse à compter de la Date de Notification. Il aura donc seul droit à tous les bénéfices, intérêts et autres répartitions qui seraient mis en distribution à compter de la Date de Notification, nonobstant l’origine des sommes distribuées ou l’exercice comptable au titre duquel cette distribution aura été décidée.
Article 6 : Déclarations du Bénéficiaire.
Le Bénéficiaire déclare et garantit que les Actions objet de la présente promesse sont valablement émises, et qu’elles sont libres de toutes charges droits et nantissements ou autres suretés.
Le Bénéficiaire s'engage jusqu'à la date de transfert effectif des Actions à ne conférer aucun droit sur les Actions promises à la Vente.
Article 7: Confidentialité.
Sauf meilleur accord entre elles, les parties s'engagent à ne pas divulguer les présentes, pendant toute la durée de la Promesse, à tous tiers, à la seule exception de leur Conseil ou sauf en vue de contraindre l'autre partie à exécuter ses engagements en raison de son refus de le faire.
Article 8 : Clause d’arbitrage.
Les parties conviennent de s’efforcer de régler à l’amiable tous les problèmes qui pourraient survenir concernant la présente convention ou son application. Elles conviennent également de soumettre tous les litiges sans exception qui ne seraient pas réglés ainsi et qui pourraient naître de la validité, de l’interprétation ou de l’exécution de la présente convention, à un Tribunal arbitral.
L’envoi par la première partie de la notification, ou l’envoi par la deuxième partie de la réponse prévue en 2, vaudra compromis dans les termes de la présente clause.

Le Tribunal sera constitué de la façon suivante :
1. La partie désirant recourir à l’arbitrage (la première partie) adresse à l’autre partie (la deuxième partie) une notification par lettre recommandée avec accusé de réception, indiquant l’objet du différend et son désir de recourir, soit à un arbitre unique, soit à trois arbitres et, dans ce cas, la première partie indique le nom de celui des arbitres qu’elle a choisi.
2. La deuxième partie répond par lettre recommandée avec demande d’avis de réception, soit en acceptant le recours à un arbitre unique proposé par la première partie, soit en indiquant le nom de celui des trois arbitres qu’elle choisit.
3. Faute par la deuxième partie d’avoir répondu 15 jours (quinze jours) après la date de la présentation de la lettre de la première partie ou faute par les deux parties de s’être entendues sur le nom d’un arbitre unique dans les 15 jours (quinze jours) de la présentation de la lettre de la deuxième partie ou faute pour les deux arbitres choisis de s’entendre dans les 15 jours (quinze jours) de leur désignation sur le nom d’un troisième arbitre, la partie la plus diligente pourra solliciter la désignation de l’arbitre unique, du deuxième arbitre ou troisième arbitre, selon le cas, par ordonnance de Monsieur le Président du Tribunal de Commerce de Paris.
Le Tribunal arbitral sera saisi, sans qu’il soit besoin de compromis préalable, par lettre recommandée avec avis de réception exposant l’objet du litige et adressée par l’une des parties à chaque autre partie et à chacun des arbitres.
Le Tribunal arbitral siégera à Paris et statuera conformément au droit français et en dernier ressort. Les arbitres devront répartir les frais d’arbitrage (honoraires des arbitres et frais d’expertise) entre les parties.
Article 9 Divisibilité.
Si l’un quelconque des articles du présent contrat se révélait nul ou insusceptible d’exécution :
- ni la validité des autres articles ni leur caractère exécutoire n’en seront pour autant affectés ou compromis;
- les parties négocieraient de bonne foi afin de remplacer l’article en question par un ou des article(s) valable(s) et susceptibles d’exécution aussi proche(s) que possible de l’intention commune des parties envisagée tant sur le plan économique que juridique, ou si une telle intention commune ne peut pas être déterminée, de l’intention de celle des parties que l’article nul ou non susceptible d’exécution vise à protéger.

Article 10 Frais.
Les frais des présentes et de tous actes de réalisation définitive à intervenir qui en seront la suite et la conséquence, seront supportés par le Bénéficiaire, qui s'oblige à les régler. Chaque partie conservera à sa charge les honoraires de son Conseil.
Article 11 : Election de domicile.
Pour l'exécution des présentes, les parties soussignées font chacune élection de domicile en leur siège social ou domicile indiqué en tête des présentes, ou à tout autre adresse signifiée à l’autre partie en temps utile par lettre recommandée avec demande d’avis de réception.

Whereas:
1. The Beneficiary holds 1,248 shares making up the capital of a company named "Anthon B Nilsen" (hereinafter "AB Nilsen" or the "Company"), a simplified joint-stock company having its registered offices at 29, rue d'Astorg, Paris (75008), inscribed on the Paris Trade and Companies Register under Number B 303.914.667. The capital of AB Nilsen of 624,000 euros is divided into 3,120 shares as follows:
- Anthon B Nilsen A/S 1,248 shares,
- Paprec France 1,248 shares,
- New-co 624 shares,

Total 3,120 actions
The purpose and main activity of AB Nilsen are, in France and abroad, all commercial operations, in all forms, notably sales representation and the distribution of wood pulp, of paper in all forms and of all products derived from wood or pertaining to the lumber industry. Its duration expires on 23 October 2050. It closes its business year on 31 December of each year.
2. As for the Promisor, it has acquired 1,248 shares in the Company, on the one hand by purchasing 688 shares from the Beneficiary and, on the other hand, by subscribing to a capital increase for 560 additional shares, all of which being for an investment rounded to a sum of €1,120,000 (one million one hundred and twenty thousand euros) hereinafter referred to as “the Investment”.
3. The Beneficiary is interested in selling, in time, the shares that it holds in the Company’s capital.
4. For its part, the Promisor wishes, in time, to sell the shares that the Beneficiary holds in the Company’s capital.

Thereupon, it has been agreed as follows:
Article 1: Purpose of the Undertaking.
By These Presents the Promisor, party of the first part, hereby firmly and irrevocably undertakes to acquire from the Beneficiary, undersigned of the second part, the 1,248 shares that it holds in the Company’s capital, as well as all rights attached to said shares such as subscription rights, all shares which could be subscribed to in cash contribution through the exercise of said subscription rights, all shares that may be gratuitously allotted due to possession of shares and all equity securities that may be substituted for the same as a consequence of a capital reduction or otherwise, hereinafter referred to as “the Shares” or “the Securities”.
The Beneficiary hereby accepts this Undertaking to Purchase Shares but reserves the right to request the completion of the sale or not, at its discretion.
In the event that the Beneficiary should exercise the present share purchase undertaking which is granted to it, the sale shall be completed under those conditions and within those time periods determined hereinafter.
Article 2: Duration of the Undertaking, exercise of the option, completion of the sale.
The Beneficiary may exercise this option on one single occasion and for the entirety of the Shares forming the subject-matter hereof, between:
- 1st July 2013 and 31 December 2013
- or 1st July 2014 and 31 December 2014
(hereinafter referred to as the Exercise Period).
by sending a registered letter with acknowledgement of receipt addressed to the Promisor, or by any other means agreed upon among the Parties (hereafter referred to as the Date of Notification).
Should the option consented to it not be exercised at the latest on 31 December 2014, the present Undertaking shall be reputed to be null and void.
The exercise of the option shall, ipso facto and without any other formalities, cause the completion of the sale between the parties. This sale shall be observed by the signature of a transfer order by the Beneficiary observing the transfer of the 1,248 shares in the Company forming the subject-matter hereof to the Promisor within one month following the Notification Date.

Article 3: Price of the Shares.
The sale, if completed, shall be made in return for a global price "P", which shall be defined according to the Company’s results, in the following conditions:

n = number of shares sold by the Beneficiary
N = total number of shares making up the Company’s registered capital on the Notification Date.
KP = shareholders’ equity as shown in the financial statements, approved by the general meeting of the Company, for the last completed financial year, on the Notification Date.
it being specified that since the winding up of accounts for the reference business year and/or their approval by the Company’s general meeting, should one or several events occur which affect significantly and unfavourably the Company’s business, and given the shareholder’ equity of said Company, that equity retained to determine the Price shall be that settled on 30 June of the business year in which notification of the exercise of the option, as specified by Article 2 above, shall occur, as moreover equity is settled in taking into consideration the conservatism principle resulting from generally-admitted accounting procedures in France, and more specifically resulting from the General Accounting Plan (Article 120-3).
3.2 In the hypothesis where the Internal Rate of Return made by Paprec France exceeds 10% (calculated in function of the increase of equity of AB Nilsen A/S in relation to 30 June 2010) - given the fact that it’s part of the Company’s capital and given the dividends distributed - New-co’s investment in the Company shall be:
P= n/N x (KP + €1.000.000)
where IRR = the Internal Rate of Return or return on investment, calculated as the annual interest rate which brings to zero the algebraic sum of the current values of outgoing and incoming fluctuations, taking into consideration the date on which said fluctuations take place.

Article 4: Payment of the price.
The Price shall be payable in cash in its entirety on the date of signature of the transfer orders which observe the transfer of ownership of the Shares, against delivery of the transfer orders.
Article 5: Coming into force of possessory rights.
The Promisor’s possessory rights in the shares forming the subject-matter of the present Undertaking shall apply as of the Notification Date. Only the Beneficiary shall therefore be entitled to all profits, interest and other gains which are placed for distribution as of the Notification Date, notwithstanding the origin of any distributed sums or the financial year concerning which such a distribution has been decided.
Article 6: Declarations by the Beneficiary.
The Beneficiary declares and warrants that the Shares forming the subject-matter of the present Undertaking have been validly issued and are free of any charges, rights, pledges or other security interests.
The Beneficiary hereby undertakes that until the date of effective transfer of the Shares, it shall grant no rights over the Shares covered by the Purchase Undertaking.
Article 7: Confidentiality.
Unless agreed otherwise between the parties, the parties hereby undertake not to disclose this agreement - throughout the duration of the Undertaking - to any third party with the sole exception of their Counsel, or unless it is intended to require the other party to perform its commitments as a consequence of its refusal to do so.
Article 8: Arbitration clause.
The parties hereby agree that they shall endeavour to reach an amicable settlement for all problems that may arise concerning the present agreement or its application. They also agree to submit all disputes, without exception, that cannot be settled in this manner and as may arise with respect to the validity, interpretation or performance of this agreement, to an Arbitration Tribunal.
The sending by the first party of notification, or the sending by the second party of the response provided for in point 2, shall be deemed an arbitration agreement under the terms of the present clause.

The Tribunal shall be formed as follows:
1. The party which wishes to proceed with arbitration (the First Party) shall send the other party (the Other Party) a notification by registered letter with acknowledgement of receipt, stating the object of the dispute and its wish to bring it either before a single arbitrator or before three arbitrators and, in this case, the First Party shall state the name of the arbitrator of its choice.
2. The Second Party shall respond by registered letter with acknowledgement of receipt, either accepting arbitration by a single arbitrator proposed by the First Party, or stating the name of one of the three arbitrators it chooses.
3. If the Second Party fails to respond within 15 days (fifteen days) following the date of presentation of the letter from the First Party or if the two parties fail to agree on the name of a single arbitrator within 15 days (fifteen days) following the date of presentation of the letter from the Second Party, or if the two chosen arbitrators fail to agree on the name of a third arbitrator within 15 days (fifteen days) following their appointment, either party may request the appointment of a single arbitrator, second arbitrator or third arbitrator, as the case may be, by order of the Presiding Judge of the Paris Commercial Court.
The dispute shall be submitted to the Arbitration Tribunal, without need for a prior compromise, by registered letter with acknowledgement of receipt, setting out the subject-matter of the dispute and sent by one of the parties to each of the other parties and to each of the arbitrators.
The Arbitration Tribunal shall sit in Paris and make its decision in accordance with French law and at last instance. The arbitrators shall split the costs of the arbitration (fees of the arbitrators and expert assessment costs) among the parties.
Article 9: Severability.
If any one of the Articles of this agreement should turn out to be null and void or unenforceable:
- this shall not in itself affect or compromise either the validity of the other Articles or their enforceability;
- the parties shall negotiate in good faith in order to replace the Article in question by one or more valid and enforceable Article(s) which is (are) as close as possible to the common intention of the parties, considered both in economic and legal terms, or if such common intention cannot be determined, the intention of whichever party the invalid or unenforceable Article was intended to protect.

Article 10: Fees.
The costs of this Undertaking and of all acts for final completion that may arise as a consequence hereof, shall be borne by the Beneficiary, which undertakes to pay the same. Each party shall bear the fees of its own Counsel.
Article 11: Election of domicile.
For the performance of this agreement, the undersigned parties each elect domicile at their registered offices or domicile as first written above, or at any other address notified to the other party in good time by registered letter with acknowledgement of receipt.

Madame, Monsieur,
Nous faisons suite à la lettre que vous nous avez adressée le 14 décembre 2007 portant sur le produit « UHU Colle Tout Super - Strong & safe » et le film télévisé relatif à ce produit.
Aux termes de votre lettre, vous nous avez fait part de préoccupations de deux ordres concernant la commercialisation par notre société du produit « UHU Colle Tout Super - Strong & safe » ainsi que la diffusion du film publicitaire portant sur ce packaging :
- en premier lieu, vous invoquez un préjudice lié aux informations trompeuses, voire mensongères, qui figureraient sur le packaging du produit « UHU Colle Tout Super - Strong & safe ».
- en second lieu, vous nous faites grief d’avoir diffusé un film publicitaire télévisé concernant le produit « UHU Colle Tout Super - Strong & safe » qui ne respecterait pas les conditions d’avertissement du consommateur sur la réalisation avec trucage et ne suivrait pas les recommandations du Bureau de la Vérification de la Publicité. Il serait, à ce titre, de nature à induire le consommateur.
Nous avions convenu ensemble d’un délai pour répondre par écrit à vos différents griefs. En effet, nos deux sociétés ont accepté de se rencontrer préalablement lors d’une réunion, qui s’est déroulée le 14 janvier 2008, au cours de laquelle notre société a souhaité apporter ses explications sur les différentes allégations invoquées par votre société.
Au cours de cette réunion, vous avez ajouté un grief sur le fait que UHU aurait adopté le code couleur jaune et noir sur des produits de la gamme bricolage.
Nous vous avons répondu sur chacun de ces points et démontré que notre position était parfaitement légitime.
Néanmoins, dans un souci d’apaisement, et sans que cela puisse être considéré comme une reconnaissance par notre société du bien fondé de votre position, nous vous avons formulé des propositions d’adaptation sur le packaging du produit « UHU Colle Tout Super - Strong & safe » et le spot télévisé, que vous avez refusé.
Nous regrettons votre refus de prendre en considération nos explications et maintenons notre réfutation de vos différents griefs.
A titre préalable, il nous apparaît tout à fait surprenant que vous ne vous préoccupiez qu’à présent des indications portées sur le packaging de notre produit et sur le film publicitaire dès lors que l’un et l’autre sont diffusés depuis plusieurs mois.
Nous ne pouvons que nous interroger sur les motifs de votre réaction tardive.
Ceci étant posé, nous vous prions de trouver ci-après les éléments de réponse à vos préoccupations.
1. En ce qui concerne le produit « UHU Colle Tout Super - Strong & safe »
Notre société a respecté l’ensemble des prescriptions légales applicables à un produit composé à base de cyanoacrylate.
Il n’est d’ailleurs pas exact, comme vous l’écrivez, que UHU présente clairement son produit comme un produit sûr et sans danger, puisque figure clairement tant au recto qu’au verso de notre packaging, une conjonction de signes et d’éléments de nature à éclairer suffisamment le consommateur sur les risques et les dangers que présente ce produit.
Au surplus, les termes « sécurité du collage » sont expressément explicités.
Le consommateur est donc parfaitement avisé que notre produit « UHU Colle Tout Super - Strong & safe » fait partie des produits dangereux.
2. En ce qui concerne le film publicitaire télévisé pour le produit « UHU Colle Tout Super - Strong & safe »

Cette affirmation est inexacte.
En effet, doit-on vous rappeler que ce code couleur est utilisé par notre société depuis 1930 et que cette antériorité nous confère, de facto, une protection que votre société a transgressée. Le jaune et noir est d’ailleurs un élément d’identification de la marque UHU pour le consommateur d’attention moyenne, qui peut être transposé à tous les produits portant cette marque.
Votre comportement est, par conséquent, constitutif de parasitisme en raison de la confusion créée dans l’esprit du consommateur, en vue de l’inciter de manière déloyale à acheter vos produits.
4. En conclusion
En conséquence, les griefs que vous formulez à l’encontre du packaging du produit « UHU Colle Tout Super - Strong & safe » et du spot télévisé ne sont pas fondés.
La démarche de votre société ne semble en réalité n’avoir pour but que de perturber une concurrence normale, assimilable à un abus de position dominante.
En conséquence, la société UHU n’entend pas répondre à vos différentes demandes formulées dans votre lettre du 14 décembre 2007.

The present correspondence is following the letter which you sent us on 14 December 2007 regarding the "UHU Colle Tout Super - Strong & Safe" product and the televised film concerning this product.
In the terms of your letter, you shared with us your preoccupations on two themes concerning the commercialisation by our company of the "UHU Colle Tout Super - Strong & Safe" product, as well as the broadcasting of the publicity film dealing with this packaging:
- firstly, you invoked a prejudice linked to misleading information, perhaps even false information, which you claim appears on the packaging of the "UHU Colle Tout Super - Strong & Safe" product.
- secondly, you complained that we broadcast a televised publicity film on the "UHU Colle Tout Super - Strong & Safe" product which, in your opinion, does not respect the terms required on warning consumers of the production of a film with special effects, and which you claim does not follow the recommendations of the Publicity Verification Board. In such case, it would be prone to mislead consumers.
We agreed together on a deadline to reply in writing to your various grievances. Indeed, both of our companies accepted to get together beforehand, during a meeting which took place on 14 January 2008. On this occasion, your company wanted to give its explanations on the various allegations you invoked.
During this meeting, you added a grievance to the effect that UHU allegedly adopted the yellow and black colour code for products of the do-it-yourself range.
We replied to each one of these points and showed that our position was perfectly legitimate.
Nevertheless, in order to deescalate – and without our intention being interpreted as recognition by our company of possible legitimate grounds for your position - we formulated proposals which you could adapt to the packaging of the "UHU Colle Tout Super - Strong & Safe" product and to the televised spot, which you refused.
We regret your refusal to take into consideration our explications and we maintain our refutation of your various grievances.
As a preliminary consideration, it appears to us surprising that you only express concern at this time on indications appearing on the packaging of our product and in the publicity film, whereas both have been circulating and broadcast for several months now.
We can’t help but wonder about the motives of your late reaction.
Having said this, please find below answers to the preoccupations you express.
1. Regarding the "UHU Colle Tout Super - Strong & Safe" product
Our company respected all applicable legal prescriptions to a product composed of cyanoacrylate-based ingredients.
Moreover, it is not exact to say, as you wrote, that UHU clearly presents its product as one which is safe and without danger, given the fact that a conjunction of signs and elements of a nature to sufficiently warn the consumer on the risk and dangers presented by this product clearly appear on the front and on the back of our packaging.
Furthermore, the terms "safety of gluing" are expressly specified.
As such, the consumer is perfectly advised that our "UHU Colle Tout Super - Strong & Safe" product belongs to the category of dangerous products.
2. Regarding the televised publicity film for the "UHU Colle Tout Super - Strong & Safe" product
You allege that the publicity film communicates false information by showing a 4x4, basing your argument notably on the obligation to respect the provisions of Article L.121-12 of the Consumers Code, as well as the recommendations of the Publicity Verification Board (BVP).
On this point, as on the others, your grievances are groundless.
Aside from the fact that, on the one hand, Article L.121-12 of the Consumers Code does not deal with false information in publicity but with comparative publicity and that, on the other hand, the use of hyperboles in the publicity field is admitted on an ongoing basis, we took all necessary guarantees with independent organisms to assure ourselves that our spot is in conformity with the legal obligations.
Consequently, on this point as on the others, the existence of false publicity cannot be established.
3. On the grievance concerning the appropriation of the yellow and black colour code
At our meeting on 14 January 2008, you also criticised us, erroneously, alleging that we appropriated the yellow and black colour code which appears on your range of "PATTEX" glues.
This affirmation is inexact.
Indeed, is it necessary to recall that this colour code has been used by our company since 1930 and that this seniority confers to us, de facto, a protection which your company transgressed? Moreover, for the consumer with an average degree of attention, yellow and black is an identifying element of the UHU brand which can be transposed to all products bearing this brand name.
Consequently, your conduct can be characterised as parasite behaviour, due to the confusion created in the consumer’s mind, with the objective of inciting such consumer disloyally to buy your products.
4. In conclusion
Consequently, the grievances which you formulate against the packaging of the "UHU Colle Tout Super - Strong & Safe" product and of the televised spot are without grounds.
In reality, the approach of your company appears to have as its only objective to the disturbing of normal competition, which can be assimilated to the abuse of a dominant position.
Consequently, UHU does not intend to reply to the various requests you formulated in your letter dated 14 December 2007.
