Good evening.

Please may I ask for your help for the translation of the following sentence, i'm really stuck:

en vue de la libération des actions nouvelles créées en représentation de l'augmentation de capital par compensation avec des créances liquides et exigibles sur la Société.
Could it be:
due to the release of new shares created in representation of the capital increase by compensation with cash debts and due to the company.
But i don't know if it is to or by the company. This is important but I can't quite get it right.

Compenser In this context, "compenser" means "to offset".

to or by En français, XX a des créances sur la société = la société a des dettes envers XX
"Créance": du point de vue du créancier (creditor)
"Dette" : du point de vue du débiteur (debtor)

but I find it a trusty source of reference and it states that "créance liquide" is a translation for "liquidated claim". ...
