'Underwriting' is IMO a different scene and suggests an insurance company etc. guarantees to take up company bonus or 'scrip' shares unsubscribed for.

Andrew's suggestion uses the correct terminology, but 'subscription and payment have not yet taken place' sounds a bit awkward.

'Has not yet been subscribed and paid' is a simpler way of saying it.
