Resolutions Per Rollam. The Board of Directors shall be entitled to take a
decision out of the meeting. In such cases voting shall be in writing or with
the use of means of telecommunications, if all the members of the Board of Directors shall agree to the written form or any other form of voting. The Chairman of the Board of Directors shall ensure all organizational activities connected with taking a decision per rollam.

The final version of the opinion is prepared by the Secretariat14 of the Board. The elaborated
opinions are sent within **a written (per rollam) procedure** for an approval to all members of the Board via email.
The concrete opinion is considered as approved if no member of the Board raises any objection to it
within a 5-day period; otherwise the opinion is put on the agenda of the next Board meeting for further
discussion.
