Entre nosotros:
A. ****, mayor de edad, casada en primeras nupcias, administradora de empresas, vecina de ***, portadora de *** ***, *** en adelante denominado como el “Arrendante”; por una parte;
B.XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX, actuando en su condición de, sociedad que en lo sucesivo y para los efectos del presente contrato se denominará como el “Arrendatario”.
El Arrendante y la Arrendataria, serán identificadas en delante de forma conjunta como las “Partes”.
Considerando
1.- El Arrendador es el propietario registral de una propiedad ( en adelante la "Propiedad" o las “instalaciones”) ubicada en ****************

4.- El Arrendatario será responsable de las mejoras al Edificio, incluyendo, pero no limitándose a permitir los procesos de diseño y acondicionamiento.
Por tanto, en atención de las consideraciones y promesas aquí contenidas, y en consideración a las representaciones, garantías y convenios aquí contenidos las Partes han acordado ejecutar este Contrato de Arrendamiento (aquí referido como "Contrato de Arrendamiento" o "Contrato" indistintamente), conforme a los siguientes términos y condiciones:
I. De la Propiedad o Instalaciones Arrendadas
a. Uso Permitido
La propiedad serán utilizadas únicamente con el propósito de ______________, incluyendo pero no limitándose a: administración general, espacio de oficinas, y cualquier otro servicio relacionado y permitido por la normativa vigente aplicable y por el Reglamento de Condominio entre otros.
El Arrendatario no alterará el uso acordado de la propiedad sin la autorización previa y escrita del Arrendador. De acuerdo con el Contrato de Arrendamiento, el Arrendatario debe cumplir en todo momento con todas las regulaciones nacionales, municipales, gubernamentales aplicables al llevar a cabo la ejecución de estas actividades, incluyendo sin limitación, las regulaciones del ******) y regulaciones cuales quiera otra regulaciones aplicables. El Arrendatario también cumplirá con el reglamento del Condominio (adjunto como Anexo B), o cualquier regulación futura o resoluciones aprobadas de acuerdo con el Reglamento de Condominio.
El Arrendatario no utilizará la propiedad para ninguna actividad ilegal, tal como, y no limitada a: apuestas deportivas o de otro tipo, producción de armas o de sus partes, o productos de tabaco. Estas prohibiciones se extenderán a cualquier beneficiario del Contrato, así como cualquier prohibición establecida en las regulaciones ****.
b. Condiciones de la propiedad arrendada.
El Arrendador proporcionará las propiedad en buenas condiciones y como se describe en el Anexo A. La entrega de las Instalaciones está sujeta a la firma de este Contrato de Arrendamiento.
c. Construcción y/o Mejoras a las Instalaciones por parte del Arrendatario después de la entrega de la propiedad.
El Arrendatario podrá efectuar cambios a las Instalaciones, sujeto a la previa aprobación escrita del Arrendador, al presentar la solicitud por escrito al Arrendador, en adelante referida como "Aviso de Cambio". El Arrendador tendrá diez (10) días hábiles después de recibir el Aviso de Cambio para aprobar o rechazar total o parcialmente los cambios solicitados.
El Arrendatario podrá ejecutar cambios autorizados directamente, en cuyo caso deberá presentar los permisos de construcción a todas las instituciones correspondientes, con copia al Arrendador antes del inicio de los trabajos de construcción requeridos para realizar los cambios ("Trabajo del Arrendatario").
Cualquier cambio o mejora introducidos por el Arrendatario a las Instalaciones deberá permanecer en las Instalaciones; el Arrendador no deberá pagar monto alguno ni reembolsar ningún costo asociado con los trabajos realizados; excepto que el Arrendatario tendrá el derecho de retirar (si así lo desea): (i) sus dispositivos comerciales y equipo de negocios y ( ii) cualquier otro equipo instalado por el Arrendatario dentro o cerca de las Instalaciones, adherido o no al edificio , las Instalaciones arrendadas se devolverán al Arrendador en las condiciones en que fueron recibidas por el Arrendatario.
El Arrendatario será responsable de obtener los permisos apropiados según lo solicite cualquier autoridad pertinente, incluyendo sin limitación alguna ***** y *****, para el Trabajo del Arrendatario (definido como trabajo llevado a cabo bajo la responsabilidad directa del Arrendatario por sus empleados o subcontratistas). El Arrendador cooperará con el Arrendatario diligentemente en la información que se requiera para todos estos permisos de construcción para el Trabajo de Arrendatario. Con este propósito, el Arrendador ejecutará todos los documentos y formularios y facilitará los documentos requeridos por las autoridades públicas por parte del dueño de la Propiedad con el fin de obtener cualquier y todo permiso requerido. Los costos de todos los permisos para el Trabajo de Arrendatario serán responsabilidad del Arrendatario.
d. Parqueo
Las Instalaciones incluyen veinte **** espacios de parqueo para vehículos livianos y dos *** andenes para carga, ubicados en el perímetro de las Instalaciones, trazado con demarcaciones de carretera acordes a los estándares del país y de *****; espacios adicionales pueden ser alquilados al precio vigente para los espacios de parqueo dentro del ****, determinado por la Administración del Condominio y sujetos a disponibilidad dentro del Parque Industrial lo más cerca posible a las Instalaciones. El Arrendatario será responsable de asignar tantos espacios de parqueo como considere necesarios dentro de los veinte (20) espacios de parqueo asignados para ello para uso de sus VISITANTES y como lo indica la ****. Los espacios de Parqueo estarán disponibles para su uso veinticuatro horas al día, todos los días del año durante el Plazo de este Contrato de Arrendamiento.
e. Áreas Comunes del Condominio
El Arrendatario puede hacer uso de las áreas comunes de la ***** de acuerdo con las regulaciones y especificaciones incluidas en el Reglamento de Condominio vigente o cualquier modificación posterior. El Reglamento del Condominio se considera como parte integral de este Contrato de Arrendamiento y se adjunta como Anexo B.
f. Sistemas Especiales, Equipo y Construcciones Adicionales a las Instalaciones
Una vez entregadas las Instalaciones al Arrendatario, el Arrendatario podrá instalar los sistemas y equipo especiales que considere necesario de acuerdo con el Reglamento de Condominio.
Si el Arrendatario decide realizar trabajos adicionales en las Instalaciones, los mismos no podrán afectar o alterar las Instalaciones, al hacerlo deberá de haber presentado la solicitud de permisos ante la ****y todas las demás instituciones que corresponda, facilitando una copia al Arrendador antes del inicio de dichas actividades. Todos los permisos de construcción requeridos deben ser presentados al Arrendador por el Arrendatario en cuanto sean aprobados por las autoridades correspondientes y previas al inicio de las obras. El Arrendatario cooperará con el Arrendador en la solicitud de dichos permisos. Los trabajos en las Instalaciones que sean adjuntos a ellas, que las modifiquen permanentemente o que les generen daño no serán aceptadas, a menos que el Arrendador haya brindado al Arrendatario consentimiento escrito que no pueda ser irrazonablemente negado o denegado y los permisos indicados anteriormente hayan sido aprobados. Asimismo, el Arrendatario será responsable de cubrir cualquier costo asociado con la obtención de dichos permisos, incluyendo, pero no limitado a cualquier impuesto pertinente.
El Arrendatario llevará a cabo el trabajo necesario por su propia cuenta según las instrucciones y aprobación del Arrendante, para devolver las Instalaciones a las condiciones en que fueron recibidas por el Arrendatario según el Anexo A. Todos los costos relacionados a la remoción del equipo del Arrendatario y reparación de las Instalaciones serán pagados por el Arrendatario.
El Sistema Automático de Protección contra Incendios del edificio está disponible para instalación dentro de las Instalaciones por el Arrendatario a un costo adicional. La conexión deberá coordinarse con la Administración del Condominio y el Arrendante.
II. Condiciones del Contrato
a. Renta
Las Partes han acordado el siguiente esquema de pago de renta:
La renta mensual base (la "Renta") a pagar por los primeros doce (12) meses iniciales siguientes a la Fecha de Comienzo del arrendamiento será de **** (US$****), moneda legal actual de los Estados Unidos de América, más el Impuesto sobre el Valor Agregado (I.V.A.) Es entendido y aceptado por ambas partes que el precio de alquiler es “NETO“, de tal forma que si en un futuro el alquiler se viera afectado a algún impuesto o tasa que corresponda al arrendatario, dicho precio se incrementará en ese mismo tanto, para que en todo caso la arrendataria reciba la renta neta. La renta base mensual tendrá un incremento anual de tres por ciento anual (****%), durante el plazo del Contrato de Arrendamiento utilizando como base para tal incremento el monto efectivo el año anterior. El primer incremento ocurrirá el primer día del mes trece del plazo del Contrato de Arrendamiento.
Las Partes han acordado que la "Fecha de Inicio de pago de Renta" sea el XXX; cualquier otra tarifa o costo derivado de este Contrato de Arrendamiento será cancelado por el Arrendatario al Arrendador tomando en consideración la fecha de comienzo de pago de renta como punto de inicio.
El Alquiler junto con el I.V.A., o cualquier otra tasa y/o impuesto que se llegue a imponer al arrendamiento que corresponda al arrendatario, se pagará en mensualidades adelantadas, y se pagará los días 01 de cada mes. ****
Se hace constar que mientras la arrendataria cuente con la exención por tener el régimen de zona franca, del pago de impuesto al valor agregado o cualquier otro que se llegue a imponer, no deberá realizar pago alguno a la Arrendante por este concepto, y obligación de pagar dicho impuesto o cualquiera que se llegaré a imponer, surgirá únicamente en caso de la pérdida por cualquier causa de la exención en el pago de impuestos. Será obligación de la Arrendataria, informar a la Arrendante sobre la pérdida de la exención si se ocurriere.
La Arrendataria reconoce y acepta que en caso de atraso en el pago del alquiler ésta reconocerá y pagará a la Arrendante un interés del tres por ciento mensual sobre saldos insolutos, que aplicará a partir de octavo día de cada mes y hasta que se haga el pago efectivo del arrendamiento. Los intereses moratorios deberán ser pagados junto con la mensualidad de arrendamiento correspondiente. Para los efectos de ésta cláusula el día de pago efectivo del arrendamiento será aquel en que queden los fondos debidamente acreditados en la cuenta de la arrendante.

Witnesseth.

Therefore, in consideration of the considerations and promises contained herein, and in consideration of the representations, warranties and agreements contained herein the parties have agreed to execute this agreement (herein referred as the “Lease agreement” or the “agreement”) according to the following terms and conditions:
I. Property or facilities leased.
a) Authorized use.
The property will be used solely for the purpose of ___________ services, including but not limited to: general administration, office space , and any other service related and allowed by current applicable regulations and by the Condominium rulings, among others.
The Lessee will not alter the agreed use of the property without the prior and written authorization from the Lessor. In accordance with the Lease Agreement, the Lessee must comply at all times with all national, municipal, and governmental regulations applicable when carrying out these activities, including without limitation, the regulations of the **** *****) and any other applicable regulations. The Lessee will also comply with the Condominium rulings and/or bylaes (attached as Annex B), or any future regulations or resolutions approved in accordance with the Condominium Rulings.
The Lessor shall not use the property for any illegal activity, such as, and not limited to: sports or other gambling, production of weapons or their parts, or tobacco products. These prohibitions shall be extended to any beneficiary of the agreement, as well as any prohibition established in the Costa Rican **** regulations.
b. Condition of the leased property.
The Lessor will provide the property in good conditions and as described in Annex A. The delivery of the property is subject to the signing of this Lease Agreement.
c. Construction and / or Improvements to the Facilities by the Lessee after the delivery of the property.
The Lessee may make changes to the Facilities, subject to the prior written approval of the Lessor, by submitting the written request to the Lessor, hereinafter referred to as "Notice of Change”. The Lessor will have ten (10) business days after receiving the Notice of Change to approve or reject all or part of the requested changes.
The Lessee may execute the authorized changes directly, in which case they must submit the construction permits to all the respective Institutions, with a copy to the Lessor before the start of the construction work required to make the changes ("Lessee's Work").
Any changes or improvements introduced by the Lessee to the Facilities must remain in the Facilities; the Lessor shall not pay any amount or reimburse any costs associated with the works made; except that the Lessee shall have the right to remove (if they so wish): (i) their commercial devices and business equipment and (ii) any other equipment installed by the Lessee within or near the Facilities, attached or not to the building, the leased Facilities will be returned to the Lessor in the conditions in which they were received by the Lessee.
The Lessee shall be responsible for obtaining the appropriate permits as requested by any relevant authority, including without limitation ***** and *****, for the Lessee's Work (defined as work carried out under the direct responsibility of the Lessee by its employees or subcontractors). The Lessor will cooperate with the Lessee diligently with the information required for all of these construction permits for Lessee’s Work. For this purpose, the Lessor will execute all the documents and forms and will provide the documents required by the public authorities by the owner of the Property in order to obtain any and all required permits. The costs of all permits for Lessee’s Work will be the responsibility of the Lessee.
d. Parking
The Facilities include twenty **** parking spaces for light weight vehicles and two ***** for loading platforms, located on the perimeter of the Facilities, laid out with road demarcations according to the standards of the country and the ***; Additional spaces can be rented at the current price for parking spaces within the **** Condominium, determined by the Condominium Administration and subject to availability within the Industrial Park as close as possible to the Facilities.
The Lessee will be responsible for assigning as many parking spaces as they deem necessary within the twenty (20) parking spaces assigned for it for the use of their VISITORS and as indicated by ****. The Parking spaces will be available for their use twenty-four hours per day, every day of the year during the Term of this Lease.
e. Common Areas of the Condominium.
The Lessee can make use of the common areas of the **** in accordance with the regulations and specifications included in the current Condominium bylaws or any subsequent modification. The Condominium rulings and bylaws are considered an integral part of this Lease Agreement and are attached as Annex B.
f. Special Systems, Equipment and Additional Constructions to the Facilities.
Once the Facilities have been delivered to the Lessee, the Lessee may install the special systems and equipment that it deems necessary in accordance with the Condominium bylaws.
If the Lessee decides to carry out additional work on the Facilities, they may not affect or alter the Facilities, in doing so they must have submitted the application for permits to the *****s and all other institutions that appropriate, providing a copy to the Lessor before the start of said activities. All required construction permits must be presented to the Lessor by the Lessee as soon as they are approved by the corresponding authorities and prior to the start of the works. The Lessee will cooperate with the Lessor in the request for said permits. The works in the Facilities that are attached to them, that permanently modify them or that cause damage will not be accepted, unless the Lessor has given the Lessee written consent that cannot be unreasonably denied or denied and the permissions indicated above have been approved. Likewise, the Lessee will be responsible for covering any costs associated with obtaining said permits, including, but not limited to, any pertinent taxes.
The Lessee will carry out the necessary work on their own account according to the instructions and approval of the Lessor, to return the Facilities to the conditions in which they were received by the Lessee according to Annex A. All costs related to the removal of the Lessee's equipment and repair of the Facilities will be paid by the Lessee.
The building's Automatic Fire Protection System is available for installation within the Premises by the Lessee at an additional cost. The connection must be coordinated with the Condominium Administration and the Lessor.
II. Agreement conditions.
a. Rent.
The Parties have agreed to the following rent payment scheme:
