Source text - English With due regard to the provisions of Article 55 of the Articles of Association, every employee or manager to whom the ownership of the shares of the company has been transferred under any of the above mentioned schemes, shall be entitled to receive the dividends payable on such shares, or the proceeds of liquidation, provided that the price of such shares has been duly paid in full to the company, in law or de jure, except if such shares were extended to the employee or manager for free. However, in case the general assembly approves a scheme whereby the employee, managers and executive members of the board of directors or both are granted shares under advantageous payment terms, the holder of each share thereto shall obtain, at least, a percentage of the dividends in proportion to the portion of the price paid for such share.
In the event the company is liquidated before the employee or manager, as the case may be, effects payment of the full price of the shares transferred to him, he shall also be entitled to receive a share in the proceeds resulting from the liquidation equivalent to the portion of the price paid for such share.
Translation - English بمراعاة أحكام المادة 55، من هذا النظام الأساسي، يحق لكل عامل أو مدير تم نقل ملكية أياً من أسهم الشركة إليه بموجب أياً من هذه الأنظمة الحصول على نصيب تلك الأسهم في أية توزيعات أرباح أو عوائد تصفية بشرط أن يكون قد سدد ثمنها للشركة بالكامل قانوناً أو حكماً إلا إذا كانت الأسهم ممنوحة مجاناً. ومع ذلك وفي حالة اعتماد الجمعية لنظام من شأنه منح أسهم للعاملين والمديرين وأعضاء مجلس الإدارة التنفيذيين أو كلاهما بشروط سداد ميسرة فإنه يجب أن يحصل حامل كل سهم من تلك الأسهم على الأقل على نسبة من توزيعات الأرباح بما يعادل نسبة ما سدده من ثمن لتلك الأسهم.
كما يحق للعامل أو المدير، على حسب الأحوال، في حالة تصفية الشركة قبل سداده لكامل قيمة تلك الأسهم المنقولة ملكيتها إليه أن يحصل على نسبة من عوائد التصفية تعادل نسبة ما سدده من ثمن تلك الأسهم.
