Source text - Spanish CONTRATO DE AGENTE O DISTRIBUIDOR INDEPENDIENTE, PLAN DE COMPENSACIÓN Y POLÍTICAS Y PROCEDIMIENTOS
Este documento recoge el Contrato de Agente o Distribuidor Independiente, en adelante “Manager”, con XXXS.L con número de identificación fiscal ______ y domiciliación social ______, propietaria de XXX, en adelante “XXXs”. Debe ser entregado, leído, y/o proporcionado junto con dos documentos más; el documento que recoge el Plan de Compensación y el documento que desarrolla las Políticas y Procedimientos.
CONTRATO DE AGENTE O DISTRIBUIDOR INDEPENDIENTE
Este contrato establece las condiciones según las cuales una persona puede actuar como Manager de XXXs y obtener así el derecho a promocionar y vender los Productos y Servicios de XXXs, y a promover la Oportunidad que ofrece XXXs.
I. DISPOSICIONES GENERALES
I. Los Managers reciben bonificaciones y ascensos de posición o rango en función de la promoción y venta satisfactoria de Productos y Servicios de XXXs a Clientes. El éxito de un Manager depende de su propio esfuerzo y habilidad individual, ya que no tiene garantizada la percepción de ingresos, beneficios o éxito profesional alguno. No existe retribución económica por la promoción de la Oportunidad de XXXs o el patrocinio de nuevos Managers.
II. Las condiciones, Productos y Servicios del contrato, esquemas comerciales y sistemas de retribución de empresas de marketing directo no están sujetos a la revisión y aprobación previa por parte de un organismo público.
III. La persona que acepta este Contrato confirma que el Manager está autorizado para celebrar un contrato con XXXs y que la Persona física o el Contacto principal identificado es mayor de 18 años y tiene capacidad jurídica.
IV. La actividad profesional del Manager puede focalizarse en cualquier parte del mundo, sujeta al cumplimiento de la legislación y normativa vigentes en tales países.
V. El Manager tiene el derecho de desistir de este Contrato y recibir un reembolso en el plazo de 14 días a contar desde la Fecha de Entrada en Vigor de este Contrato.
II. DEFINICIONES
Los términos incluidos en este apartado del contrato mantendrán los significados aquí expuestos (aún con la ausencia de estar señalados con los símbolos (« »):

II. «Manager de XXXs»: Toda persona que pague la Cuota de Inscripción en XXXS.
III. «Sitio Web o Plataforma Web »: Se refiere a la Plataforma Web: www._____.com
IV. «Herramientas de Negocio de XXXs»: Formación y material de marketing elaborados por XXXs.
V. «Oportunidad de XXXs»: La oportunidad de negocio que XXXs ofrece a los Managers al promocionar y vender Los Productos y Servicios de XXXs y promocionar la Oportunidad de XXXs.
VI. «Productos y Servicios de XXXs»: Son aquellos que un Manager ofrece a los Clientes o a futuros/potenciales Managers.
VII. «Plan de Compensación»: El plan de bonificaciones y comisiones, es aquel según el cual se calcularán las bonificaciones que puede obtener cada Manager por la promoción y venta satisfactoria de los Productos y Servicios de XXXs. Las cuantías obtenidas por la venta de Productos por un Manager directamente a un Cliente no forman parte del Plan de Compensación. El Plan de Compensación deberá leerse detenidamente antes de aceptar este Contrato de Solicitud de Manager pues con la firma de éste, se considerará la aceptación expresa de dicho Plan.
VIII. «Usuario»: Aquel usuario no registrado que accede a la Plataforma Web pública. Éste puede navegar habiendo aceptado previamente la Política de Cookies.
IX. «Usuario Registrado»: Aquel usuario que ha pasado el proceso de registro, pero que todavía no ha comprado ningún producto.
X. «Cliente»: Aquél que adquiere un producto o Servicio de XXXs o de un Manager.
XI. «Fecha de Entrada en Vigor»: La fecha en la que el Manager acepta el contrato de Agente o Distribuidor Independiente.
XII. «Cuota de Inscripción»: Pago único obligatorio que da derecho al Manager a promocionar y vender los Productos y Servicios de XXXs y a promocionar la Oportunidad de XXXs.
XIII. «Derechos de Propiedad»: Hace referencia a marcas registradas, marcas de servicios, nombres comerciales, logotipos, materiales con derechos de autor, conocimientos especializados, documentos de negocio, métodos de operaciones, procesos y sistemas, y otros derechos de propiedad pertenecientes a cualquier miembro de XXXs.
XIV. «Facturas»: Documento emitido por el Manager en el que se detalla el importe que la empresa le debe abonar con motivo de las transacciones realizadas por él y por su línea descendente. Los datos calculados en las facturas corresponderán con los cálculos detallados en el Plan de Compensación.
XV. «Vigencia»: Periodo que comprende entre la Fecha de Entrada en Vigor y su vencimiento, que será de doce meses y que comienza a partir de la fecha de pago de la Cuota de Inscripción por parte del Manager, o cualquier periodo de renovación.
III. SITUACIÓN LABORAL DEL MANAGER
El Manager es un trabajador independiente y trabaja por cuenta propia, por tanto, no es empleado, socio o representante legal de XXXs. El Manager podrá elegir libremente el medio, método y forma de actuación, así como las horas y el lugar para el desarrollo de sus actividades en virtud de este Contrato, sometiéndose a las Condiciones previstas en el mismo.
El Manager llevará a cabo por su cuenta y riesgo las actividades comerciales y se hará responsable de los gastos, deudas u obligaciones que tengan lugar durante su actividad en XXXs, ya que XXXs no asumirá, en ningún caso, el pago o reembolso de tales costes.
Como se ha indicado en la definición los Managers, éstos reciben bonificaciones en función de la promoción y venta satisfactorias y no en función del tiempo trabajado. El Manager no puede iniciar las siguientes acciones en nombre de XXXs: contraer obligaciones, deudas o responsabilidades; firmar documentos; recoger pagos de Clientes u otros Managers; tomar medidas que supongan obligaciones a XXXs frente a un tercero. El Manager acepta que las actividades que lleva a cabo de acuerdo a este Contrato no suponen su fuente de ingresos principal y bajo ningún concepto se puede considerar su actividad principal.
IV. OBLIGACIONES FINANCIERAS DEL MANAGER
La única obligación financiera del Manager hacia XXXs durante la vigencia inicial es la de abonar la Cuota de Inscripción. La única obligación financiera del Manager para renovar la Licencia durante el Periodo de Renovación es abonar la Cuota de Renovación. El Manager no está obligado a realizar compra alguna de Servicios o Productos de XXXs.
V. USO DE LOS DERECHOS DE PROPIEDAD
XXXs es el propietario de todos los Derechos de Propiedad. En virtud de este Contrato, XXXs le otorga al Manager una licencia no exclusiva para usar los Derechos de Propiedad con el objetivo de promocionar y vender los Productos y Servicios de XXXs y la Oportunidad de XXXs, tal y como se especifica durante el desarrollo de este Contrato y en el documento que recoge las Políticas y Procedimientos.
Este Contrato no transfiere al Manager ningún derecho en materia de Derechos de Propiedad, por lo que tampoco podrá alterar los Derechos de Propiedad sin el permiso previo y por escrito de XXXs. El uso no autorizado de los Derechos de Propiedad de XXXs constituye una violación del presente Contrato y puede ir contra la ley.
XXXs podrá suprimir el derecho a usar Derechos de Propiedad otorgados al Manager firmante y los descritos en esta cláusula en cualquier momento sin aviso previo, pero con la posterior justificación y notificación dirigida al Manager.
VI. USO DE MATERIALES DE MARKETING Y FORMACIÓN
El Manager utilizará únicamente material impreso y/o electrónico que sea creado o aprobado por XXXs para promocionar o vender los Productos y Servicios de XXXs y la Oportunidad de XXXs, y para formar a futuros/potenciales Managers.
Se prohíbe que el Manager obtenga beneficios de la venta o reventa de cualquier material de marketing o de formación con independencia de que haya sido creado por XXXs o por el Manager.
VII. PROMOCIÓN DE PRODUCTOS Y SERVICIOS DE XXXs, Y LA OPORTUNIDAD DE XXXs
El Manager puede recurrir únicamente a la venta directa y al marketing relacional para promocionar los Productos y Servicios de XXXs y la Oportunidad de XXXs. El Manager debe adherirse a unos estrictos principios de ética y a la legislación y reglamentos de aplicación en donde realice dichas acciones, cuyas bases se encuentran recogidos en el documento de Políticas y Procedimientos.
El Manager es responsable del cumplimiento de todas las leyes locales, nacionales, europeas e internacionales y a las normas y códigos aplicables a la actividad del Manager.
El Manager se identificará como tal ante posibles futuros/potenciales Managers y Clientes. Asimismo, les proporcionará información completa, verídica y clara sobre XXXs – tanto sobre las condiciones generales, como sobre los precios de los Productos y Servicios y/o la Oportunidad de XXXs –.
El Manager no llevará a cabo prácticas de venta falsas, engañosas o injustas, ni hará afirmaciones falsas, engañosas o exageradas sobre los Productos y Servicios de XXXs o la Oportunidad de XXXs. Además, presentará la Oportunidad de XXXs como una oportunidad igualitaria, independientemente del origen étnico, orientación sexual, sexo, nacionalidad, religión o creencias políticas.
El Manager informará a los posibles Clientes y a su línea descendente sobre los derechos de desistimiento de un Contrato de Cliente o un Contrato de Solicitud de Manager. Además, proporcionará el acceso y copias de cualquier documento necesario –entendiéndose tales como el Contrato de Cliente, el Contrato de Solicitud de Manager, las Políticas y Procedimientos y el Plan de Compensación –. Así, tanto al futuro/potencial Manager como al Cliente, se le hará entrega de un documento conforme que mediante su firma afirman que le ha sido entregada toda la documentación necesaria y que, por tanto, se considerará que están correctamente informados de todo lo estipulado en el presente contrato.
El Manager, al promocionar y vender los Productos y Servicios de XXXs, se asegurará de que, antes de aceptar una transacción, los Clientes tengan conocimiento de la misma, así como los riesgos de pérdida o ganancia en función de las fluctuaciones que sufra el mercado.
El Manager informará específicamente al Cliente de su derecho de reembolso del capital correspondiente a sus Community Shares de nueva emisión garantizados en un plazo de noventa días a contar desde el cierre de emisión.
El Manager informará a los nuevos Managers de que el éxito como tal depende de la promoción y venta satisfactorias de los Productos y Servicios de XXXs a Clientes. El Manager, en ningún momento afirmará, prometerá o garantizará que los futuros Managers obtendrán ganancias, beneficios o éxito profesional específicos o que dichas ganancias, beneficios o éxito profesional se puedan conseguir fácilmente.
Si el Manager no se adhiere a las disposiciones de esta cláusula, la empresa podrá estimar alguna penalización para el Manager. Además, en el caso que XXXs contraiga obligaciones financieras u otras responsabilidades que deriven del incumplimiento de alguna cláusula de este Contrato, éste tendrá el deber de indemnizar a XXXs, si la empresa así lo determina, o una autoridad judicial, en su caso.
VIII. Ética profesional y cumplimiento de la ley
El Manager debe cumplir la legislación y normas aplicables al promocionar y vender los Productos y Servicios de XXXs y la Oportunidad de XXXs. Esta obligación incluye de forma no limitativa: el cumplimiento de las leyes, normas y códigos aplicables a la promoción y venta de los Productos y Servicios de XXXs y la Oportunidad de XXXs, incluidas las normas de protección al consumidor, de venta directa, venta a distancia, de sociedad de la información y protección de datos; la obtención de los permisos, licencias comerciales o registros, incluidos los visados y permisos de trabajo, exigidos en cualquier país en el que el Manager decida desarrollar la actividad profesional; el cumplimiento de las notificaciones, y los archivos necesarios para garantizar el pago de los impuestos (como la declaración de la renta, los impuestos nacionales o locales relativos al negocio, y el IVA); los códigos deontológicos de las asociaciones de empresas de venta directa de los países en los que el Manager desarrolle la actividad. En cualquier momento, XXXs puede pedirle al Manager información o documentos para verificar que cumple el contenido de la presente cláusula. Si el Manager no cooperara ante tal solicitud de XXXs, podría ser sometido, si así lo considera XXXs, a una acción disciplinaria. Además, el Manager deberá indemnizar a XXXs si éste contrae obligaciones financieras u otras responsabilidades.
IX. BONIFICACIONES.
El Manager recibe bonificaciones de acuerdo con el Plan de Compensación vigente en ese momento, y en función de su actividad y la de su línea descendente.
El Manager comprende y acepta que el éxito como Manager depende de su propio esfuerzo y capacidad individual y que, en ningún caso se le garantiza la percepción de ingresos específicos, beneficios o éxito comercial.
El Manager, con la firma y aceptación del presente contrato, confirma que ni XXXs ni otro Manager de XXXs le ha prometido o garantizado la percepción de ingresos específicos, beneficios o éxito comercial. NO EXISTE RETRIBUCIÓN ECONÓMICA POR LA PROMOCIÓN DE LA OPORTUNIDAD DE XXXs O EL RECLUTAMIENTO O PATROCINIO DE NUEVOS MANAGERS. Por tanto, ÚNICAMENTE EXISTIRÁ RETRIBUCIÓN ECONÓMICA POR LAS VENTAS DE LOS PRODUCTOS O SERVICIOS DE XXXs.
El Manager acepta expresamente que XXXs puede modificar el Plan de Compensación sin aviso previo y que tal cambio no da lugar a una demanda por daños por parte del Manager contra XXXs. La continuación de la actividad del Manager de conformidad a la modificación del Plan de Compensación, se considerará como aceptación tácita de tal modificación.
X .FACTURAS Y PAGO DE BONIFICACIONES.
Al ser trabajador autónomo, el Manager es responsable de facturar a XXXs por los servicios suministrados, incluida la venta de Productos y de Servicios de XXXS, a fin de obtener el pago.
Las facturas deben cumplir la legislación del país en donde se emiten.
Para garantizar el cumplimiento y como una forma de ayudar a los Managers, XXXs prepara y envía a todos los Managers todos los extractos necesarios.
XI. RESCISIÓN DEL CONTRATO.
Revocación durante el Plazo de Desistimiento: El Manager puede desistir de este Contrato en el plazo de 14 días a contar desde la Fecha de Entrada en Vigor («Plazo de Desistimiento») sin dar motivo alguno. Para ejercer su derecho de desistimiento, el Manager debe enviar una comunicación por escrito a XXXs antes del fin del Plazo de Desistimiento. Si el Manager ejerce su derecho de desistimiento, XXXs reembolsará el importe correspondiente al valor de la cuota de alta. Los gastos de gestión correrán a cargo del Manager/Cliente.
Rescisión después del Plazo de Desistimiento: Una vez pasado el Plazo de Desistimiento, el Manager puede rescindir este Contrato avisando a XXXs por escrito sin derecho a reembolso
Devolución de community shares garantizados: El manager podrá solicitar tras el cierre de emisión de un community y durante un periodo de noventa días el reembolso del capital de los community share garantizados.
Rescisión del Contrato por XXXs: XXXs puede rescindir este Contrato en cualquier momento y por escrito, con 14 días de aviso al Manager o inmediatamente si éste infringe el presente Contrato o las Políticas y Procedimientos.
XII. RENOVACIÓN
Al finalizar la Vigencia del Contrato, el Manager podrá solicitar la renovación del mismo abonando la cuota de renovación, la cual podrá variar si así lo estipula XXXs. La renovación no constituirá un nuevo Contrato entre el Manager y XXXs, sino la prolongación del contrato vigente. Esto será así incluso cuando éste haya sufrido modificaciones sustanciales las cuales deberán ser comunicadas al Manager antes de que abone nuevamente la Cuota de Inscripción.
Si el Manager no opta por la renovación, el Contrato quedará rescindido al término de su periodo de Vigencia (sujeto a un posible periodo de gracia aplicable) y el Manager renunciará a los derechos otorgados en virtud de este Contrato, incluido el derecho de recibir bonificaciones futuras. XXXs puede, por criterio propio, rechazar una solicitud de renovación.
XIII. LIMITACIÓN DE RESPONSABILIDAD
XXXs será responsable únicamente de los daños directos sufridos por el Manager, en caso de conducta dolosa o negligencia grave de XXXs. Por tanto, XXXs no será responsable de ningún otro daño, directo o indirecto, o de pérdidas sufridas por el Manager u otra persona, incluyendo la pérdida de beneficios, que sean resultados de acto, error u omisión de XXXs.
El Manager confirma que las limitaciones de responsabilidad de la presente cláusula, quedan reflejadas en la resolución proporcionada en virtud de este Contrato y en la decisión del Manager de celebrarlo.
A fin de evitar cualquier duda al respecto, el Manager acepta expresamente que no presentará ninguna reclamación a XXXs por: discontinuidad o modificación de cualquier producto o servicio proporcionado por XXXs; modificaciones respecto de las condiciones generales de la Oportunidad de XXXs, este Contrato o el Plan de Compensación; rechazo por parte de XXXs para proporcionar Productos y Servicios de XXXs a un Cliente; terminación de la relación contractual entre un Cliente y XXXs; eliminación de un Cliente de la cuenta de un Manager o un de un nuevo Manager miembro de la línea descendente del Manager como resultado de acciones disciplinarias o de acatamiento; y de los cambios en la remuneración del Manager en el Plan de Compensación como resultado de acciones de acatamiento o disciplinarias contra él mismo o un miembro de su línea descendente.
XIV. INDEMNIZACIÓN
El Manager indemnizará y liberará a XXXs de toda responsabilidad, daño, pérdida o reclamación respecto de los Productos y Servicios que haya proporcionado el propio Manager, así como de toda omisión que conlleve la violación del presente Contrato.
Confidencialidad
El Manager no revelará ningún tipo de información confidencial o relativa a los Derechos de Propiedad de XXXs de los que el Manager tenga conocimiento, incluida la información sobre su línea descendente, otros managers o los Clientes de XXXs. El Manager se compromete a no usar información confidencial de una forma en la que XXXs pueda verse perjudicada.
Datos personales
Recopilación y procesamiento de los datos personales del Manager: XXXs recopila, conserva y procesa información, incluidos los datos personales, del Manager de acuerdo al ámbito de aplicación de la Ley Orgánica 15/1999 del 13 de diciembre sobre la Protección de datos personales. XXXs utiliza los datos personales para: el ejercicio de sus funciones en virtud del presente Contrato; el cálculo y pago de bonificaciones al Manager; la facilitación de servicios Manager; el suministro de información al Manager sobre oportunidades de marketing relacionadas con los Productos y Servicios de XXXs; el cumplimiento de funciones legales, financieras, contables y administrativas; y la protección de los derechos jurídicos y contractuales de XXXs.
Los datos personales del Manager pueden transferirse a otros miembros del Grupo XXXs; empleados, consultores externos y asesores del Grupo XXXs; a otros Manager; Socios de XXXs; y a otros destinatarios autorizados legalmente. A tener en cuenta: algunos destinatarios de datos personales del Manager podrían estar ubicados en países externos a la Unión Europea, incluyendo Estados Unidos, que no ofrecen una protección de datos equivalente.
La recopilación de datos personales del Manager para los fines aquí indicados es esencial para el ejercicio de las obligaciones de XXXs de conformidad con este Contrato, para dirigir el negocio XXXs y para que el Manager pueda exigir sus derechos como tal. Por ello, si el Manager no proporciona datos solicitados o si aplaza o retira su consentimiento para utilizar dichos datos, podría causarse la denegación de la presente Solicitud o la rescisión del Contrato.
XXXs acepta procesar los datos personales de forma leal y lícita, adoptar medidas razonables para garantizar que los datos personales sean completos y precisos, no usar los datos personales para fines ilícitos, recopilar únicamente los datos personales necesarios para los fines establecidos en la presente cláusula, y tomar las medidas adecuadas para evitar el acceso a los datos personales o su divulgación a personas no autorizadas.
El Manager puede ejercer sus derechos para acceder y corregir o eliminar datos personales poniéndose en contacto con el Servicio de Atención al Manager por escrito a la dirección de correo electrónico: hola@_______.com
Con el consentimiento expreso del Manager y de conformidad con la Política de Privacidad, XXXs puede usar los datos personales del Manager con el fin de enviar comunicaciones de marketing y comerciales al mismo, para llevar a cabo estudios científicos y de mercado, y encuestas de opinión pública o de satisfacción con los servicios proporcionados.
Los datos personales del Manager se pueden transferir a terceros, siempre y cuando el fin esté de acuerdo con XXXs y la actividad que desarrolla. En cualquier momento, el Manager puede aplazar o retirar su consentimiento para que XXXs utilice sus datos personales.
El Manager podrá contar con acceso a los datos personales de Clientes y los Managers patrocinados directamente por él. El Manager tratará dichos datos personales como información confidencial y los manipulará tal como se especifica en el presente Contrato. El Manager proporcionará a los posibles Clientes y Managers la información o documentación de privacidad que XXXs requiera.
XV. VIOLACIONES DEL CONTRATO POR EL MANAGER
Las violaciones de este Contrato por el Manager, incluyendo las violaciones de las Políticas y Procedimientos o los intentos de aprovecharse de manera indebida e inapropiada del Plan de Compensación, se considerarán incumplimiento de este Contrato, por lo que podría conllevar el sometimiento del Manager a acciones legales y/o a acciones disciplinarias, de acuerdo a los procesos establecidos en las Políticas y Procedimientos.
La acción disciplinaria por violaciones demostradas queda reservada a XXXs. El Manager acepta que todas las acciones disciplinarias y apelaciones derivadas se llevarán a cabo exclusivamente de acuerdo a los procesos establecidos en las Políticas y Procedimientos, y el Manager acepta que su actividad podría ser suspendida mientras se lleva a cabo una investigación del presunto incumplimiento.
XXXs confirma que éste Contrato de Solicitud de Manager alberga el Contrato íntegro entre el Manager y XXXs, pese a ello y como se ha hecho referencia en reiteradas ocasiones a lo largo del presente Contrato, éste deberá firmarse junto con las Políticas y Procedimientos y el Plan de Compensación de XXXs. Las comunicaciones, representaciones, acuerdos, garantías expresas o implícitas y condiciones efectuadas por otra persona anteriormente en relación con este Contrato, ya sean por vía oral o escrita, quedan expresamente excluidas del mismo y son inejecutables.
XVI. MODIFICACIÓN DEL CONTRATO
El presente Contrato podrá ser modificado por XXXs en cualquier momento y sin previo aviso. Cualquier comunicación de XXXs al Manager en lo relativo a tales modificaciones se considerará aviso efectivo, incluyendo, de forma no limitativa, la información publicada en la Plataforma Web a la que todos los Managers tienen acceso.
Para continuar con la promoción de Productos y Servicios de XXXs o la Oportunidad de XXXs tras el aviso, deberá considerarse que el Manager ha prestado su consentimiento para la modificación del Contrato. El Manager confirma que las disposiciones de la presente cláusula quedan reflejadas en la resolución proporcionada en virtud de este Contrato y en la decisión del Manager de celebrar este Contrato.
XVII. AVISOS
Los avisos en relación con el presente Contrato, excepto aquellos de los que ya se ha hecho mención expresa en otras cláusulas del presente, se realizarán, de forma no limitativa, por escrito y se enviarán por el sistema de notificaciones del Front Office o por correo electrónico a la dirección designada por la parte no notificante. El periodo de notificación se computará desde el día en que fuera enviada.
XVIII. CESIÓN
El presente Contrato será de forzoso cumplimiento y redundará en beneficio de los herederos, causahabientes y beneficiarios de XXXs y del Manager.
El Manager no podrá asignar o transferir los derechos u obligaciones del presente Contrato o su propia función sin el previo consentimiento por escrito de XXXs.
XIX. DIVISIBILIDAD
Si se determinase que alguna disposición del Contrato es parcial o totalmente inválida o resultase inaplicable, el resto de las disposiciones no se verá afectado.
XX. CONTACTO CON LOS MEDIOS DE COMUNICACIÓN
El Manager no se pondrá en contacto con ningún medio de prensa, radio, televisión, Internet o de naturaleza similar en nombre de XXXs o de un Socio de XXXs sin la aprobación previa y por escrito de XXXs. Las consultas formuladas por los medios de comunicación en relación con XXXs han de remitirse a XXXs.
XXI. RENUNCIA
Si XXXs o el Manager no exige la ejecución del presente Contrato, ello no afectará al derecho de la parte renunciante a exigir a la otra parte que desista o rectifique cualquier incumplimiento del presente Contrato, y la parte no interpretará como renuncia una demanda de la aplicación del Contrato o daños por un incumplimiento continuo o futuro del mismo.
XXII. LEGISLACIÓN Y FUERO VIGENTE
El presente Contrato estará regulado por la legislación española. Así, serán los tribunales españoles los competentes para resolver cualquier controversia respecto del funcionamiento, Productos y Servicios y Oportunidad de XXXs.
Translation - English AGENT OR INDEPENDENT DISTRIBUTOR CONTRACT, COMPENSATION PLAN AND POLICIES AND PROCEDURES
This document is the agreement or contract between the Agent or Independent Distributor, hereinafter "Manager", and XXX (with tax identification number _____ and registered address _______ Barc_____), owner of XXX, hereinafter "XXXs". This document is to be delivered, read, and / or provided along with other two documents: the Compensation Plan and the Policies and Procedures Manual.
AGENT OR INDEPENDENT DISTRIBUTOR CONTRACT
This contract establishes the conditions under which a person can act as a XXX Manager and thus obtain the right to promote and sell XXXs’ Products and Services and to promote the XXXs’ Opportunity.
I. GENERAL DISPOSITIONS
I. Managers receive economic bonuses and rank promotions as rewards to successfully promote and sale XXXs’ Products and Services to Clients. The success of a Manager depends on his or her own individual effort and ability. Managers are not guaranteed income, profits or any professional success. There is no financial reward for promoting the XXXs Opportunity or by sponsoring new Managers.
II. The conditions, products and services of this contract, commercial schemes and remuneration systems of Direct Marketing companies are not subject to any prior review or approval by any government agency.
III. The person accepting this Agreement confirms that he or she can become a Manager, is authorized to sign a contract with XXXs and that he or she, acting as an person or as a company’s identified Principal Contact is over 18 years of age and has legal capacity to sign this contract.
IV. Managers’ professional activity can be developed anywhere in the world, subject to compliance with local legislation and regulations.
V. Managers have the right to cancel this Agreement and receive a refund within 14 days from the Effective Date of this Agreement.
II. DEFINITIONS
The terms included in this section of the contract shall retain the meanings set forth herein (even if they are not marked with the symbols («»):

III. «Web Site or Web Platform»: Refers to the Web Site/Platform: www._____.com
IV. «XXXs’ Business Tools»: Coaching, and education Marketing Material made by XXXs.
V. «XXXs’ Opportunity »: The XXXs’ Business Opportunity to promote and recommend XXXs’ Products and Services.
VI. «XXXs Products and Services»: Offered to current or prospective customers by XXXs’ Managers.
VII. «Compensation Plan»: The Current compilation of Bonuses that rewards those Mangers who recommend XXXs’ Products and Services. Margin Spread of bought and sold Community Shares through the XXX’s Software Platform are not proceeds from the Compensation Plan. Managers must fully understand this Compensation Plan before signing Managers Contract. Upon signature of this Contract Managers acknowledge understanding and acceptance of this Compensation Plan.
VIII. «User»: Unregistered users that accesses the Public Web Platform. These can explore the web site by accepting the Cookies Policy.
IX. «Registered User»: That user who has registered, but has not yet purchased any product.
X. «Client»: Those Users who purchase any of the XXXs’ Products or Services, either through XXX or directly through a Manager.
XI. «Activation Date»: Date on which Managers accepts this contract of Independent Agent or Distributor.
XII. «Initial Fee»: One time down payment which allows Managers to promote, recommend and sale XXXs’ Products and Services, and the XXXs’ Opportunity.
XIII. «Intellectual Property Rights »: Refers to trademarks, service marks, trade names, logos, copyrighted materials, knowhow, business documents, operations systems or methods, processes, and other intellectuals proprietary rights belonging to any member of XXXs.
XIV. «Invoices»: Document issued by Managers that detail the amount of money that the company must pay him or her for their downline and own accomplished transactions. The invoices’ amount will match those calculations detailed in the Compensation Plan.
XV. «Duration»: Time frame between the Activation Date and Termination Date. This will be a 12 month period, and stars upon Initial Fee payment, or any Renewal Payment.
III. MANAGERS’ WORKING SITUATION
Managers are independent and self-employed workers, therefore not employees, partners or legal representatives of XXXs. Managers may freely choose working means, methods and manner, as well as hours and places to carry their business activities within the scope of this Contract, and the Conditions provided therein.
Managers will carry out business activities at their own risk and will be responsible for all the expenses, debts or obligations that occur during their activity promoting and selling XXXs’ Products and Services and de XXXs’ Opportunity. XXXs will not under any circumstances assume payment or reimbursement of those costs.
As indicated in Managers’ definition, Managers, receive bonuses based on successfully promoting and selling and not according to the time worked. Managers cannot do the following actions on behalf of XXXs: incur obligations, debts or liabilities; Sign documents; Collect payments from Customers or other Managers; Take measures involving XXX obligations to a third party. Managers agree that those business activities carried out within this Agreement do not constitute their principal source of income and under no circumstances may these be considered their main activity.
IV. MANAGER’S FINANCIAL RESPONSIBILITIES
Manager's sole financial obligation to XXXs during the initial term is to pay their Enrollment Fee. Manager's only financial obligation to XXXs is to pay the Renewal Fee to renew their License during the Renewal Period. Managers are not obligated to make any purchases of XXXs’ Products or Services.
V. INTELLECTUAL PROPERTY RIGHTS USE
XXXs is the owner of all Property Rights. Under this Agreement, XXXs grants Managers a non-exclusive license to use these Property Rights for only purpose of promoting and selling XXXs’ Products and Services and the XXXs’ Opportunity, as specified during the development of this Contract and in the document that includes the Policies and Procedures.
This Agreement does not transfer XXXs’ Property Rights to Managers, nor can Managers alter Property Rights without XXXs’ prior written consent. Unauthorized use of XXX Property Rights constitutes a breach of this Agreement and may be against the law.
XXXs may remove the right of Managers to use Property Rights and those rights described previously at any time without prior notice, but with the proper justification and notification addressed to Managers.
VI. COACHING AND MARKETING MATERIAL
Managers will only use printed and / or electronic material that has been created or approved by XXXs to promote or sell XXXs’ Products and Services and the XXXs’ Opportunity, and to train and coach prospective / potential Managers.
Managers are prohibited from profiting from the sale or resale of any marketing or training materials, whether created by XXXs or by Managers.
VII. PROMOTING XXXs’ PRODUCTS AND SERVICES AND THE XXXs’ OPPORTUNITY
Managers can only use direct selling and relational marketing to promote XXXs’ Products and Services and the XXXs’ Opportunity. Managers must adhere to strict ethical principles and to the legislation and regulations of those jurisdictions where they are carrying their business activities, and always within the scope of the Policies and Procedures Manual.
Managers are responsible to comply with all local, national, European and international laws, rules and codes applicable to Managers' activity.
Managers will identify themselves as such to prospective Managers or Clients. They will also provide complete, truthful and clear information about XXXs’ general conditions, prices of XXXs’ Products and Services and / or the XXXs’ Opportunity.
Managers will not engage in false, deceptive or unfair selling practices, or make false, misleading or exaggerated claims about XXXs’ Products and Services or the XXXs’ Opportunity. Additionally they will present the XXXs’ Opportunity as an equal opportunity to all, regardless of ethnicity, sexual orientation, sex, nationality, religion or political beliefs.
Managers will inform prospective Clients and their downline of their rights to cancel a Contract or a Manager Request Contract. Managers will provide prospective Clients or Managers access and copies of any all documents - such as the Client Agreement, Managers Request Agreement, the Policies and Procedures Manual and the Compensation Plan -. Prospective Managers and Clients will sign documents’ reception so they acknowledge that have been properly informed of everything stipulated in this contract.
While promoting and selling XXXs’ Products and Services, Managers will make sure that Customers are aware of the risk of loss or gain (depending on market fluctuations) before accepting a transaction.
Managers shall specifically inform Clients of their ninety days refund period (from the issuing date) of that capital invested in a newly issued Community Share.
Managers will inform new Managers that success depends on the successful promotion and sale of XXXs’ Products and Services to Customers. Managers shall at no time promise or guarantee that future Managers will obtain specific profits or professional success, or that such profits or professional success can be easily obtained.
If Managers do not follow these rules, XXXs may estimate a penalty for that Manager. Additionally if XXXs were to incur in financial obligations or other liabilities arising from breach of any provision of this Agreement, the Manager shall indemnify XXXs, if the company or a court determines so.
VIII. PROFESSIONAL ETHICS AND LAW ABIDANCE
Managers must comply with applicable laws and regulations when promoting and selling XXXS’ Products and Services and the XXXS’ Opportunity. These obligations include, but are not limited to: compliance with laws, regulations and codes applicable to the promotion and sale of XXXs’ Products and Services and the XXXs’ Opportunity, and regulations and codes applicable to consumer protection, direct sale, information society and data protection; obtaining permits, commercial licenses or registrations, including visas and work permits, required in any country in which Managers decide to develop the professional activity; compliance with document keeping such as notifications, and the necessary files to guarantee tax payment (such as income tax returns, national or local taxes related to the business, and VAT); the codes of ethics of the associations of companies of direct sales of the countries in which Managers develop their activity. At any time, XXXs may ask Managers for information or documents to verify compliance with the content of this clause. If a Manager does not cooperate with such request, he or she may be subject to disciplinary action. Additionally, Managers shall indemnify XXXs if it were to incur in financial obligations or other liabilities.
IX. BONUSES
Managers receive bonuses in accordance with the current Compensation Plan, based on their activity and that of their downline.
Managers understand and accept that success as a Manager depends on their own individual effort and ability and that, in no case are they guaranteed the perception of specific income, profits or commercial success.
Managers, by signing and accepting this agreement, confirm that neither XXXs nor another XXXs Manager has promised or guaranteed the receipt of specific revenues, profits or commercial success. THERE IS NO ECONOMIC REMUNERATION FOR THE PROMOTION OF THE XXXs’ OPPORTUNITY OR THE RECRUITMENT OR SPONSORSHIP OF NEW MANAGERS. Hence, ONLY THE SALE OF XXXs’ PRODUCTS OR SERVICES IS REWARDED WITH AN ECONOMIC REMUNERATION.
Managers expressly agree that XXXs may modify the Compensation Plan without prior notice and that such change cannot result in a claim for damages by Managers against XXXs. The continuation of a Managers' activity in accordance with the modification of the Compensation Plan shall be deemed to be acceptance of such modification
X. INVOICES AND BONUSES PAYMENTS
In order to obtain payment as self-employed workers, Managers are responsible for billing XXXs for the services provided, including the sale of XXXs’ Products and Services.
Invoices must comply with the legislation of the country where these are issued.
To ensure compliance, and as a way to help Managers, XXXs prepares and sends to all Managers all necessary accounts movements.
XI. CONTRACT TERMINATION
Contract Cancelation Period: Managers may terminate this Contract within 14 days from the Effective Date ("Termination Period") without necessary explanation. To exercise their right of cancelation, Managers must send XXXs written communication before the end of the Termination Period. If the Manager exercises his or her right to cancel, XXXs will refund the Initial Fee. Administration Costs will be paid by the Manager / Customer.
Contact Cancelation after Termination Period is over: Upon expiration of the Termination Period, Managers may terminate this Agreement by written notification to XXXs, but they will not be entitled to reimbursement
Guaranteed Community Shares Refund: Managers will be able to request, after initial issuance of a Community Share and during a period of ninety days, reimbursement of the capital of the guaranteed community share.
XXXs Contract Cancelation: XXXs may terminate this contract and all obligations with the Manager at any time with written communication, with 14 days’ notice or immediately if the Manager breaches this Agreement or the Policies and Procedures.
XII. CONTRACT RENEWAL
At the end of the Contract Term, Managers may request renewal by paying the Renewal Fee. This fee will be set by XXXs. Renewal will not constitute a new Contract between Managers and XXXs, but the extension of the current contract. This will be the case even if the Contract has undergone substantial modifications. These modifications must be communicated to Managers before payment of Renewal Fee.
If a Manager does not pay the Renewal Fee, this Contract will be terminated at the end of its Term (subject to a possible applicable grace period) and the Manager will waive the rights granted under this Contract, including the right to receive future bonuses. XXXs may, at its own discretion, refuse an application for renewal.
XIII. RESPONSIBILITY LIMITATION
XXXs will be solely responsible for those direct damages suffered by Managers because of XXXs’ intentional conduct or gross negligence. Therefore XXXs will not be liable for any other direct or indirect damages or losses suffered by Managers or another person, including loss of profits, as a result of XXXs’ error.
By signing this contract, a Manager confirms that he or she understands the limitations of XXXs’ liability under this Agreement and that it is the Managers' decision to accept them.
In order clarify this, the signing Manager expressly agrees that he or she will not submit any claims to XXXs for: Discontinuity or modification of any product or service provided by XXXs; Modifications to the general conditions of the XXXs’ Opportunity, this Agreement or the Compensation Plan; Refusal by XXXs to provide XXXs’ Products and Services to a Customer; Termination of the contractual relationship between a Client and XXXs; Removal of a Client from a Manager's account or from a new Manager’s downline as a result of disciplinary or compliance actions; And changes in the Compensation Plan as a result of compliance or disciplinary actions against him or her or a downline member.
XIV. LIABILITIES AND COMPENSATIONS
Managers shall indemnify and free XXXs from any liability, damage, loss or claim regarding XXXs’ Products and Services supplied by him or her to another Client or Manager. Managers shall indemnify and free XXXs from any liability, damage, loss or claim caused by the Manager’s violation or breach of this Agreement.
Confidentiality
Managers will not disclose any confidential information or XXXs’ property rights protected information including information about his or her downline, other managers, or XXXs’ Clients. Managers agree not to use confidential information in any manner in which XXXs may be harmed.
Personal Data
Collection and processing of Managers' personal data: XXXs collects, preserves and processes information, including personal data, from Managers according to Organic Law 15/1999 of December 13 on the Protection of personal data. XXXs uses personal data: To comply assigned functions under this Agreement; To calculate and pay bonuses to Managers; To provide Services to Managers; To provide information to Managers about marketing opportunities related to XXXs’ Products and Services; To fulfill legal, financial, accounting and administrative functions; And to protect legal and contractual XXXs’ rights.
Managers' personal data can be transferred to other members of the XXX Group; Employees, external consultants and advisers of the XXX Group; To other Managers; XXX partners; And other legally authorized recipients. Please note: Some recipients of Managers’ personal data may be located in countries outside the European Union, including the United States, whose regulations about data protection are not as strict as Europeans’.
Collection of Managers’ personal data for the purposes indicated herein, is essential to enable XXXs to meet its obligations under this Agreement and to run the XXXs business. Therefore, if a Manager does not provide requested data or if he or she postpones or withdraws his or her consent to use such data, XXXs may deny his or her Contract Request or Terminate the Contract.
XXXs agrees to process personal data in a fair and lawful manner, to take reasonable measures to ensure that personal data is complete and accurate, not to use personal data for unlawful purposes, to collect only the personal data necessary for the purposes established in this clause, and to take appropriate measures to prevent access to personal data or its disclosure to unauthorized persons.

With the Manages expressed consent by signing this contract, and in accordance with the Privacy Policy, XXXs may use Managers’ personal data to send marketing and commercial communications to Managers, to carry out scientific and market studies, and conduct opinion surveys on satisfaction with the services provided.
Managers’ personal data can be transferred to third parties, as long as porpoise is aligned with XXXs and its business activity. At any time, Managers may defer or withdraw their consent for XXXs to use their personal data.
A Manager may have access to Clients’ and other Managers’ (directly sponsored by him/her) personal data. All Managers will treat such personal data as confidential information and use it as specified in this Agreement. All Managers will provide prospective Clients and Managers the privacy information or documentation required by XXXs.
XV. MANAGERS VIOLATIONS OF THIS AGREEMENT
Manager’s violation of this Agreement, including violation of the Policies and Procedures or attempts to improperly and inappropriately take advantage of the Compensation Plan, shall be considered a breach of this Agreement, which could lead to legal and / or disciplinary actions against the Manager, according the Policies and Procedures Manual.
Applying disciplinary actions for proven violations is reserved to XXXs. Managers agree that all disciplinary actions and consequential appeals will be conducted solely in accordance with the processes set forth in the Policies and Procedures Manual, and Managers agree that their business activity may be suspended while an investigation of the alleged noncompliance is being conducted.
XXXs confirms that this Manager Contract contains the entire Agreement between Managers and XXXs, however, and as it has been said repeatedly throughout this Agreement, this Contract must be signed along with the Policies and Procedures Manual and the XXXs’ Compensation Plan. All communications, representations, agreements, expressed or implied, warranties and conditions made previously by any other person in relation to this Agreement, whether verbally or in writing, are not a part of this contract, and are inapplicable.
XVI. CONTRACT MODIFICATION
XXXs may modify this Agreement at any time and without prior notice. Any communication of XXXs to Managers regarding modifications shall be deemed effective notice, including, but not limited to, information published on the Web Platform to which all Managers have access.
To continue promoting XXXs’ Products and Services or the XXXs’ Opportunity after the notice, Managers shall be deemed to give their consent to these Contract modifications.
Managers must fully understand that Contract modification may occur before signing this Contract. Upon signature of this Contract Managers acknowledge understanding and acceptance of this clause.
XVII. COMMUNICATIONS
Communications regarding this Agreement, except those which have already been expressly mentioned in other clauses herein, shall be made in a non-limiting manner in writing and shall be sent through the Front Office notification system or by mail. This mail will be sent to the non-notifying party designated address. The notification period will start on the day that the communication has been sent.
XVIII. TRANSFER
This Agreement will be enforced and will benefit heirs, successors and beneficiaries of XXXs and Managers alike.
Managers may not assign or transfer this Agreement’s rights or obligations without prior XXXs’ written consent.
XIX. DIVISIBILITY
If determined that any provision of this Contract is partially or totally invalid or is inapplicable, the rest of the provisions will not be affected.
XX. CONTACT WITH MASS MEDIA COMMUNICATION
Managers will not contact any press, radio, television, Internet or similar media on behalf of XXXs or a XXXs’ Partner without prior XXXs’ written approval. Inquiries by Media regarding XXXs should be referred to XXXs directly.
XXI. WAVING
If XXXs or a Manager do not require compliance of this Agreement, this shall not affect the right of the waiving party to require the other party to waive or rectify any breach of this Agreement, and the party shall not consider as waiving an application claim of the Contract or damages for a continuous or future breach thereof.
XXII. LEGISLATION AND COURT
This Agreement shall be governed by Spanish law. Thus, the Spanish courts will be competent to resolve any controversy regarding the XXXs’ Products and Services and the XXXs’ Opportunity.
